Duc Minh Pham is an associate with the Tilleke & Gibbins corporate and commercial team, based in the Ho Chi Minh City office. With eight years of experience, Duc specializes in mergers and acquisitions, competition, and project finance, providing comprehensive legal support to clients across diverse industries.

Duc advises foreign investors and Vietnamese companies on their day-to-day legal matters, including contract review, regulatory compliance, and licensing procedures. In August 2026, Vietnam’s Ministry of Industry and Trade released a draft decree to replace Decree No. 35/2020/ND-CP detailing certain articles of the Competition Law (Decree 35). The key changes under the draft decree and their implications for M&A transactions in Vietnam are summarized below. Definition of “Management Body” Decree 35 uses the term “management body” (bộ phận điều hành) as one of the criteria to determine the group of affiliated enterprises for the purpose of merger filing. However, there is no definition of the term, leaving enterprises without a basis on which to apply it consistently. The draft decree introduces a statutory definition of “management body,” being a person or group of persons who (i) own more than 50% of charter capital or voting shares; (ii) hold ownership or use rights over more than 50% of an enterprise’s assets; (iii) are an enterprise manager under enterprise law; or (iv) have decision-making power over the enterprise’s resolutions, daily business operations, or business and investment plans. This helps enterprises better assess the scope of merger filing. Determination of Relevant Product Market Under Decree 35, the relevant product market is defined solely by reference to goods and services interchangeable in characteristics, intended use, and price without accommodating digital or zero-price products. The draft decree expands the relevant product market to include “products” (sản phẩm) in addition to traditional “goods and services,” which captures digital information products, AI products, and other novel offerings. Additionally, it adds “other relevant competitive factors” such as quality of products, goods, and services for determining the relevant product market, supplementing the existing factors of characteristics, intended use, and price. This addresses cases where price substitutability is not meaningful for certain consumers or users, i.e., zero-price products. On December 31, 2025, the State Bank of Vietnam (SBV) issued Circular No. 72/2025/TT-NHNN (Circular 72), establishing a streamlined foreign exchange framework for Vietnam’s International Financial Center (IFC). Circular 72, which took effect on the same day, implements core provisions of Decree No. 329/2025/ND-CP and marks a fundamental shift from ex ante licensing to ex post supervision for IFC member enterprises and foreign investors. These changes are designed to accelerate capital flows, reduce compliance costs, and position Vietnam as a competitive regional financial hub by granting IFC members substantially greater autonomy in currency transactions, borrowing, lending, and investment activities. Key provisions for IFC members to note are discussed below. Use of Foreign Currency and Payments within the IFC Vietnam generally requires the use of Vietnamese dong for transactions within the country, with limited exceptions. This can be burdensome for foreign investors, who may be unfamiliar with all the foreign exchange rules they must comply with. Under the new regulation, IFC member enterprises and foreign investors gain the ability to transact, list prices, and settle obligations in foreign currency when dealing with other IFC members or offshore counterparties, avoiding currency risk and conversion friction. With respect to individuals and organizations located within Vietnam who are not IFC members, the use of foreign currency must continue to comply with general restrictions on foreign exchange usage within Vietnam. Dual-Track Account System for IFC Members The new regulation introduces a two-tier account structure that differentiates transactions by purpose and counterparty. IFC member enterprises must use a designated foreign currency capital account at an IFC member bank for four specified activities: Borrowing from offshore individuals and organizations Lending to offshore entities and domestic borrowers Outbound investing from the IFC Investing elsewhere in Vietnam from the IFC All other foreign exchange transactions—including operational receipts, vendor

On December 11, 2025, Vietnam’s National Assembly issued Resolution No. 254/2025/QH15 (Resolution No. 254) to address practical difficulties encountered in implementing the Law on Land 2024. The resolution provides specific mechanisms and policies to resolve issues related to land allocation, land leasing, and conversion of land-use purposes, while also addressing land valuation principles, timing of information collection, and land valuation methods. The resolution takes effect on January 1, 2026. Key provisions affecting investors are discussed below. Land Use Terms for Transferred Investment Projects The National Assembly has addressed situations where the remaining term of a transferred investment project is insufficient for the transferee’s business or financial plans. Resolution No. 254, along with the Law on Investment 2025, introduces aligned regulatory solutions. Under the Law on Investment 2025 (4th version submitted to the National Assembly for promulgation), if an investment project implemented prior to March 1, 2026, has been transferred and the transferor holds a Land Use Rights Certificate, has fulfilled all land-related financial obligations, and is not subject to termination, the competent authority may determine a new operating term if the remaining operating term does not meet the transferee investor’s financial or business plan. This adjustment occurs when approving or adjusting the investment policy or issuing or amending the investment registration certificate. The revised operating term is calculated from the date of the approval or issuance and must not exceed the statutory maximum of 70 years for projects in economic zones and 50 years for projects outside economic zones. Resolution No. 254 also permits adjustment of the land use term for transferred investment projects involving land, provided that the transferee investor pays additional land rent in accordance with applicable law, thereby ensuring consistency with the Law on Investment 2025.
