Thailand has released the set of principles that will form the official draft Platform Economy Act (PEA) for a public hearing period that runs until December 15, 2024. The PEA is likely to be positioned as a general or overarching law for digital intermediary services and digital platform service businesses. In January 2024, an early, unofficial version of the proposed law had been circulated among a limited group of operators in certain industries to get comments for the working group charged with the PEA’s development. Now, however, the proposed principles that will underpin the official draft PEA have been released publicly to gather comments, feedback, and suggestions from any interested stakeholders. The principles of the draft PEA cover two main areas: user protection and fair competition. The key details in these two areas are outlined below. User Protection The main regulator supervising the law’s user protection elements will be the Electronic Transactions Development Agency (ETDA). The draft PEA is expected to impose user protection obligations on service providers based on their nature, size, and risk level. The principles set out a three-tiered classification system for service providers that will be covered under the draft PEA, as detailed below, ordered from fewest obligations to most: Intermediary Service Provider: This describes a service provider acting as an intermediary between a sender and recipient of information on a computer network, the internet, or a telecommunications network. Service providers likely to fall under this category include cloud service providers and web hosting providers. Intermediary service providers may be further categorized into the following subtypes: Mere conduit service providers; Caching service providers; Hosting service providers; and Other service providers as prescribed in ministerial regulations. Online Platform: This refers to an intermediary service provider offering data storage services that connect various types of users to enable transactions or interactions between them, whether or not fees are charged. Trademark registration for marks composed of combinations of Roman letters and/or Arabic numerals has long been challenging in Thailand, particularly for those that are neither stylised nor pronounceable. There have been conflicting perspectives regarding the interpretation of “invented letter(s) and numeral(s)” under Section 7 of the Thai Trademark Act. The Department of Intellectual Property (DIP) has considered that letters and numerals must feature notable visual enhancements to be inherently distinctive, and “invented” must be in the form of stylisation, such as overlapping or interlocking letters, or intricate designs like traditional Thai oral patterns or geometric motifs. Some examples of acceptable letter and numeral marks according to the DIP The courts, however, have consistently recognised that three-letter marks, even when presented without stylisation, can be inherently distinctive. The rationale is that these marks, viewed as random and unusual combinations, can in many cases be distinguishable from common words and sufficient for the public to identify the associated goods/services, and distinguish them from others. Following Supreme Court precedents on registrability, the DIP officially updated its Examination Guidelines in January 2022 to recognise that combinations of three or more letters, even if not stylised or forming pronounceable words, can be deemed inherently distinctive. Challenges persist, however, for two-letter marks, which still face significant obstacles in achieving registrability. The JD case Background Beijing Jing Dong 360 Du E-Commerce, one of China’s largest e-commerce companies, led trademark applications for the marks JD.COM (and device) and JD.CO.TH (and device) for services in Class 35 related to advertising and business management: The registrar rejected the applications, citing insufficient stylisation of ‘JD’ and describing ‘.com’ and ‘.co.th’ as common descriptive terms. The applicant appealed to the Board of Trademarks, which upheld the refusal, echoing the registrar’s reasoning and asserting that the marks were devoid of inherent distinctiveness overall. 近年、ベトナム国家知的財産庁(以下、「知的財産庁」という)が発行する年次統計では、知的財産権譲渡の譲渡申請などを含む知的財産の取引件数や知的財産権の申請件数が増加していることが報告されている。それにもかかわらず、知的財産庁が承認した商標譲渡の登録数は、この増加傾向と異なり、2022年での1,281件から2023年には1,120件に減少している。この減少は、知的財産庁が商標譲渡を承認する際の過度に厳しい要件によるものであり、譲渡人の商号との矛盾を理由に譲渡登録を却下したことによるものと考えられている。 [1] 知的財産庁の譲渡登録に関する実務 ベトナム知的財産法は、第139条(4)に「商標に対する権利の譲渡は,当該商標を有する商品又はサービスの特質又は出所について混同を生じさせてはならない」と規定されているように、いくつかの場合に商標の譲渡を制限している。したがって、譲渡される商標が譲渡人の会社名の主要な要素と同一である場合、知的財産庁は、譲受人が商標を使用すると譲渡人の商号と混同されるとみなし、譲渡登録の申請を即座に却下する。この場合、知的財産庁は、権利者が以下の条件のうち少なくとも1つを証明する関係当局発行の書類を提出できる場合にのみ、譲渡登録の申請を受理する。 譲渡人が、その名義のすべての事業所および業務を譲受人に譲渡した場合 譲渡人が商標が付された商品/サービスに関連する事業目的を取りやめ、事業目的の削除が企業登録証明書に記録されている場合 契約締結後に、譲渡人が解散した、あるいは、存在しない場合 譲渡人が、契約締結後、譲渡された商標と同一または類似の要素を含まないように譲渡人の名称を変更した場合 譲渡人及び譲受人が関連会社である場合 これらの書類がない場合、譲渡登録の申請承認を取得するのが難しくなる可能性がある。多くの場合、譲渡登録の却下は、当事者が事件の続行を希望すると、知的財産庁Appeal Divisionでの手続に長期間要することになる。 [2] 知的財産庁の実務に関する意見の相違 譲渡人の商号との競合による譲渡申請却下の可能性に関する規定は何年も前から存在しており、知的財産庁は、譲渡された商標が譲渡人の名称の主要な要素と同一または類似している場合、譲渡登録を却下してきた。しかしながら、従来、これを理由に商標譲渡登録の申請却下がなされた場合には、譲渡人がベトナムにおいて当該会社名を使用していないこと、譲渡人と譲受人との間の提携関係を証明し、又は譲渡人が解散手続を開始したことを証明する宣言がなされれば、却下を覆すには十分であった。当局により発行された書類は不要であった。 それにもかかわらず、知的財産庁の実務は過去3年間で変化し、上記書類が必要になったため、知的財産保有者がこの理由での譲渡申請却下を克服するための問題が生じている。この変更点は、実務家の間、さらには知的財産庁内でも多くの議論を巻き起こしている。 論点は、却下自体に十分な根拠がないというものである。ベトナムでは、会社名はデフォルトで商号にはならない。通達11/2015/TT-BKHCNの第14.2条により、会社名は、実際の事業活動で使用され、知的財産法第76条および同第78条に規定されているいくつかの条件(例えば、その名を冠した事業体を同じ事業分野および地域で活動する他の事業体と区別できる)を満たしている場合にのみ商号と見なされる。そのため、ベトナムでの譲渡人の会社名の実際の使用に関する証拠/情報なしに、譲渡人の商号と競合することを理由に、知的財産庁が譲渡登録を却下したことに説得力がないように思われる。残念ながら、通達11/2015/TT-BKHCNはもはや有効ではなく、それを修正および補足するための新しい通達もまだ存在しない。 第二に、知的財産法は、他者の商号と混同される可能性があることを理由に出願申請中の商標が保護されることを禁じているが、著者は、申請中の商標が商号の所有者によって反対されない限り、知的財産庁が職権でこの理由により拒絶した事案を認識していない。 第三に、知的財産庁により示された譲渡却下を克服するための選択肢、特に当局により発行された書類の提出という要件は非現実的であるように思われる。例えば、ベトナムにおいて商標譲渡登録を申請する譲渡人は、事業を展開する各市場で、商標のビジネス戦略が異なる多国籍企業であるのが一般的である。この場合、ベトナムにおける単一の商標の譲渡を登録する目的のためだけに、社名の変更、譲渡された商標が付される商品・役務に関連して、削除される特定の商品等の削除、または事業所および事業活動の全部を譲受人に譲渡するよう要求することは不合理である。 譲渡人と譲受人が関連会社であっても、その関係を証明する法的書類の提出が難しい場合もある。場合によっては、譲渡人は知的財産権譲渡契約に署名した後に解散手続を行うが、譲受人への知的財産権の譲渡を含むすべての財産権に関する義務を履行した後にのみ解散し得る。当該手続には時間がかかるため、解散完了を証明する法的文書の提出を求める知的財産庁の要求は実現不可能と思われる。 [3] 推奨 2022年に公布され、2023年1月1日に施行された改正知的財産法と、2023年11月30日に施行されたその指針である通達23/2023/TT-BKHCNは、知的財産手続にさらなる光を当てている。ただし、これらの法的文書には、譲渡人の商号と同一の譲渡された商標の登録に関する明確な規定や指針はない。 現在、改正通達第23号の草案はパブリックコメントを受け付けており、知的財産実務家は、譲渡された商標が譲渡人の商号と同一または類似している場合、知的財産庁が要件を緩和することを推奨している。具体的には、譲渡人が会社名を使用しないことを宣言したこと、譲渡人と譲受人との提携関係を証明する宣言、または譲渡人が解散手続を開始したことを示す証拠は、過去に知的財産庁が認めたように、この理由での譲渡却下を克服するのに十分であると見なされるべきである。 将来的には、譲渡人の会社名が実際にベトナムで使用されているため、商号として保護される可能性があると考えられる根拠がある場合にのみ、譲渡申請却下すべきである。   備考:本和文は英文記事を翻訳したものです。原文については、以下のリンクをご参照ください。 Vietnam: Challenges in Recordal of Trademark Assignments

Thailand’s Securities and Exchange Commission (SEC) has announced a public hearing on proposed amendments to takeover regulations under Thailand’s Security and Exchange Act B.E. 2535 (1992) (and the regulations issued thereunder) that have the potential to reshape the country’s market for takeovers. The proposed changes, which have not yet been compiled in a formal draft regulation, may affect acquisition planning but could also help reduce unnecessary regulatory and administrative burdens. The SEC is accepting comments on the proposed changes through its website until November 30, 2024. The key proposed changes are detailed below. Alignment of tender offers and reporting under Section 246: Previously, Section 246 (reporting of acquisition/disposition upon reaching or crossing any multiple of 5% shareholding) focused only on group shareholding changes, while Section 247 (tender offer obligation) looked at both groups and individuals to trigger tender offering obligations. The proposed amendment aligns these requirements by considering only group-level triggers for both sections. Another change addresses situations where an entity acquires another entity (persons under Section 258) that already holds shares in a listed company. Currently, actions of shareholders in a listed company resulting in a person under Section 258 and such shareholders as a group holding shares in a listed company in aggregate and triggering the tender offer threshold only result in reporting under Section 246 while having no tender offer obligation. Under the proposed amendment, such actions will trigger a tender offer obligation—not immediately upon the acquisition of persons under Section 258 and reaching or crossing the relevant threshold, but once there is any increase (even a single share) in the shareholding in the listed company, unless the circumstances fall into an exemption (e.g., disposal of the additional shares within seven business days) or a waiver is obtained. A new notification on required labeling and packaging for alcoholic beverages was published in Thailand’s Government Gazette on November 8, 2024, taking full effect the following day. The notification (Notification of the Alcoholic Beverage Control Committee Re: Criteria, Methods, and Conditions for Packaging of Alcoholic Beverages and Warning Statements of Alcoholic Beverages Both Produced Domestically and Imported into Thailand 2024) essentially reaffirms a mandatory requirement for packaging and warning statements for alcoholic beverages, which echoes existing regulations from 2009 and 2017. Under the authority of the Alcoholic Beverage Control Act B.E. 2551 (2008) (ABCA), the notification reinforces the Alcoholic Beverage Control Committee’s objective of promoting consumer awareness through standardized warning labels. The notification addresses the following key aspects: Packaging definitions. The notification defines packing-related terms for the first time under the ABCA. These terms include (1) packaging, (2) containers (also known as primary packaging), and (3) outer packaging (secondary packaging). Packaging requirements. Containers for alcoholic beverages produced or imported for sale in Thailand must be at least 0.175 liters each. Warning statements. Although alcoholic beverages are classified as food under the Food Act B.E. 2522 (1979), the notification exempts alcoholic beverages from general food labeling requirements prescribed in the Food Act. Instead, it mandates that the following warning statements be prominently displayed: Sale of liquor to persons under 20 years old is prohibited; Drinking reduces driving ability; and Not suitable for persons under 20 years old. Format. The notification specifies that these warning statements must be written in Thai, in bold characters, with a minimum type size of five millimeters. The warning must be enclosed in a box that contrasts with the label background and surrounding content. Exemptions. Certain products, such as alcoholic beverages imported as samples or otherwise not intended for commercial sale, are exempt from the warning statement requirements.
