Biography

Wisara Harnchonboth is an associate in Tilleke & Gibbins’ corporate and commercial department in Bangkok. She assists multinational and domestic businesses with legal needs in the areas of capital markets and securities, mergers and acquisitions, banking and securities-related laws, and foreign direct investment, including tender offers for securities, delisting of shares from the Stock Exchange of Thailand, offering of new shares and warrants by way of right offering, and acquisition of equity interest.

Prior to joining Tilleke & Gibbins, Wisara worked at respected domestic and international law firms in Bangkok, where she advised clients on capital market transactions, M&A transactions involving private and public companies, regulatory and licensing matters for e-payment and non-bank lending business activities, foreign direct investment, commercial contracts, and general corporate advice.

Wisara holds an LLM from King’s College London and an LLB from Chulalongkorn University.

  • Assisted a well-known Thai listed food manufacturer in connection with its voluntary tender offer for the entire amount of securities of a well-known Thai listed baked goods manufacturer.
  • Assisted a Thai listed company in connection with its delisting of shares from the Stock Exchange of Thailand.
  • Assisted a Thai listed company in connection with its offering of new shares and warrants by way of a right offering to its shareholders for the purpose of acquiring several power plant projects.
  • Assisted a Thai listed company in connection with its acquisition of a 45% equity interest in a Thai listed company, followed by a tender offer.
  • Advised a leading Singaporean securities company in connection with its tender offer for the entire amount of securities of a Thai listed company.
