Biography

Sayphin Singsouvong is an associate in Tilleke & Gibbins’ Vientiane office, focusing primarily on legal matters related to foreign direct investment, banking and finance, energy and infrastructure, and other corporate and commercial needs.

She has extensive experience helping companies across a wide range of industries establish a legal presence in Laos and obtain the necessary business licenses for operations in the country—as well as amending corporate documents, registrations, and regulatory filings. Sayphin is well regarded for her understanding of the Lao banking and finance sector, and she regularly assists clients in corporate transactional work, such as conducting due diligence for proposed mergers and acquisitions. She is a versatile practitioner with considerable expertise in reviewing corporate agreements such as shareholder and joint venture agreements, as well as providing legal advice on corporate issues, material agreements as part of the issuance of legal opinions, due diligence reports, and legal memos.

Sayphin obtained an LLM in International Law jointly from Jean Moulin Lyon III University and the National University of Laos, and an LLB in Business Law from the National University of Laos. As a qualified lawyer licensed by the Lao Ministry of Justice, Sayphin is a member of the Lao Bar Association and is fluent in Lao, English, and Thai.

  • Provided legal advice related to the incorporation of companies and representative offices in Laos, including preparing applications and coordinating with the relevant government authorities, such as the Ministry of Planning and Investment, the Ministry of Industry and Commerce, and other ministries, to obtain the necessary business licenses.
  • Reviewed corporate documentation and agreements (e.g., share transfer agreements, lease agreements, concession agreements, power purchase agreements, etc.) related to power projects with companies located in Laos as part of legal advice and assistance for major Thai and Chinese lenders.
  • Advised major Thai and Chinese banks and financial institutions, leasing companies, and insurance companies in Laos, and reviewed relevant financial agreements (e.g., loan agreements, guarantee agreements, share pledge agreements, agreements creating security over immovable assets, assignment agreements, etc.) related to their planned operations in Laos.
  • Conducted due diligence for companies in the power, rubber, and other industries in Laos on behalf of underwriters for listing on the Stock Exchange of Thailand, which entailed share acquisition activities and corporate debt restructuring.
  • Reviewed bond documents for the joint overseas issuance of bonds by a power company and the government of Laos, including notarization of the bond documents with the Ministry of Justice and registration of the documents with the Ministry of Finance.

On January 3, 2025, the Bank of the Lao PDR (BOL) issued Decision No. 11/BOL on the Use of Foreign Currency in Lao PDR, taking effect on the same date. This decision sets out the rules for using foreign currency in Laos and ensures the Lao kip (LAK) remains the primary currency while allowing flexibility for international transactions. Key points in the decision are outlined below. Permissible Activities for Foreign Currency The decision provides that authorized entities can use foreign currency as a secondary currency to LAK in the setting of cost and pricing structures, announcing and advertising prices, and making or receiving payments for goods and services that are imported or have manufacturing inputs imported from other countries. Otherwise, LAK is the only permitted currency. The decision also stipulates that foreign exchange must be conducted only via authorized commercial banks or foreign exchange markets. The exchange rate for setting costs, pricing structures, announcing and advertising prices, and making and receiving payments for goods and services in foreign currency must match the exchange rate announced by commercial banks from time to time. Businesses Allowed to Use Foreign Currency The decision allows certain businesses and organizations to use foreign currency. These entities are divided into two groups: those that need approval before using foreign currency, and those that can use it immediately. Enterprises that can use foreign currency with BOL approval include: Businesses that export goods or services and entities that lease or obtain concessions from the government, generating revenue in foreign currency through commercial banks. Enterprises that provide international freight and passenger transportation services. Enterprises that provide services related to cross-border logistics and warehousing.
