Biography

Ploy Maneepaksin is a senior associate in Tilleke & Gibbins’ corporate and commercial practice in Bangkok. She advises Thai and international clients on a broad range of corporate and transactional matters, with a strong focus on mergers and acquisitions, legal compliance, foreign investment, and cross-border transactions. She regularly leads legal due diligence exercises and negotiates key commercial agreements in M&A deals, offering strategic legal solutions tailored to each transaction.

Ploy has extensive experience advising clients on corporate structuring, joint ventures, shareholder arrangements, and asset and share acquisitions across diverse industries, including consumer goods, food and beverages, real estate, energy, technology, and manufacturing. She is recognized for her commercially minded, solutions-oriented approach and her ability to navigate complex regulatory environments to support successful deal execution.

Prior to joining Tilleke & Gibbins, Ploy was a senior associate at a leading law firm in Bangkok, where she played a key role in high-profile M&A and capital markets transactions. She holds an LLB from Chulalongkorn University and is licensed by the Lawyers Council of Thailand. She is also an extraordinary member of the Thai Bar Association.

Experience

  • Acted as lead counsel in a cross-border investment by a Thai listed company in a 100 MW solar power project in Vietnam. Advised on legal structuring, regulatory compliance, and transaction documentation. The deal marked a significant step in the client’s regional renewable energy expansion.
  • Represented a Thai listed manufacturer in its strategic entry into the electric bus sector through the acquisition of equity interests in two key companies, with a combined value of over THB 478 million (approx. USD 15 million). Advised on deal structuring, shareholder arrangements, and regulatory compliance, supporting the client’s expansion into a government-backed sustainability sector.
  • Advised a Thai fintech platform on its Series B fundraising round. Provided legal support on investment structuring and drafted key agreements. The transaction enabled the client to accelerate product development and broaden market reach in the competitive digital wealth management space.
  • Acted as legal counsel in a proposed cross-border investment by a Thai manufacturing group in agricultural operations in China. Advised on legal structuring, regulatory landscape, and transaction risks associated with foreign direct investment in the agribusiness sector.
  • Advised a European private equity firm on the acquisition of a Thai film packaging business via a full equity transfer. The transaction involved negotiating with a global packaging group and navigating local regulatory requirements for a seamless cross-border acquisition.

Thailand is taking steps to energize its startup scene by drafting the Startup Promotion Law. This draft law aims to remove obstacles, open new funding opportunities, and provide coordinated government support. The goal is to make it easier for Thailand-based startups to grow and compete on a global stage. Why Is This Law Needed? For many years, Thai startups have operated under traditional company law frameworks that were not designed with high-growth businesses or with fundraising opportunities in mind. Restrictions on issuing bonds, offering shares to outside investors, and repurchasing shares for employee incentive programs made it challenging for emerging companies to access capital and accelerate their growth. The draft Startup Promotion Act seeks to remove these obstacles and foster a more competitive, entrepreneur-friendly environment in Thailand. Who’s in Charge? Two main organizations will oversee the startup ecosystem: Startup Promotion Committee: This group, to be appointed by the National Science, Research, and Innovation Policy Council, will set national strategies, policies, and budget; design promotional campaign and incentives; and propose further legislative amendments to promote startups. National Innovation Agency (NIA): Under the draft act, the NIA will be the main contact for startups and will serve as the secretariat office of the Startup Promotion Committee, coordinating data, advising startups, maintaining the public registry, and providing funding and investment (grants, repayable grants, loans, and equity) under committee criteria and, where applicable, cabinet approval. What Startups Are Eligible for Benefits? To be officially recognized and access benefits, a company must: Be a private limited company less than 10 years old at the time of application.
