Biography

Parames Chokelumlerd is an associate at Tilleke & Gibbins in Bangkok, specializing in capital markets, mergers and acquisitions (M&A), and corporate law. He advises listed and private companies on securities offerings and transactional matters, including preparation and review of documentation for warrant and debenture issuance, private placements, right offerings, and initial public offerings (IPOs). He also assists in conducting legal due diligence and ensuring compliance with the regulations of the Securities and Exchange Commission and the Stock Exchange of Thailand.

Parames assists businesses with a wide range of activities in support of M&A transactions, including drafting and negotiating share purchase and joint venture agreements, and coordinating the completion of complex corporate deals. His strong understanding of both commercial objectives and regulatory frameworks provides his corporate clients with a strong and reliable base for the successful achievement of their transactional goals in Thailand.

He holds an LLB from Thammasat University and has completed the LLM program in Banking and Finance Law from the University of Bristol. Parames is licensed as an attorney-at-law by the Lawyers Council of Thailand.

  • Assisted companies in fundraising activities, including initial public offerings (IPOs), warrant issuances, and capital increases; and facilitated smooth approval and successful capital-raising initiatives by preparing and reviewing related documentation to ensure compliance with Securities and Exchange Commission and Stock Exchange of Thailand regulations.
  • Prepared and reviewed terms and conditions and other supporting documents for the issuance of debentures, including standalone and medium-term note programs. Assisted in organizing and drafting documentation for debenture holders’ meetings to amend or postpone maturity dates and other terms, helping clients maintain liquidity and investor confidence while meeting regulatory obligations.
  • Assisted listed companies in implementing board of directors’ and shareholders’ resolutions and in preparing other related documents for submission and disclosure to the Stock Exchange of Thailand and the Securities and Exchange Commission. Advised on compliance matters involving shares and asset acquisitions and dispositions, tender offers, and related-party transactions to ensure adherence to listing requirements.
  • Drafted and reviewed key transactional documents, including nondisclosure agreements, term sheets, share purchase agreements, and joint venture agreements. Conducted legal due diligence and coordinated with clients throughout the transaction process to ensure smooth completion of share transfers.
  • Advised companies on corporate governance and regulatory compliance, including preparation of documentation for annual and extraordinary general meetings. Assisted with company registrations and regulatory filings, including submissions to the Office of Insurance Commission, to ensure continued corporate compliance and operational efficiency.
