Tilleke & Gibbins Welcomes New Capital Markets Team Led by Yaowarote Klinboon

Tilleke & Gibbins is pleased to announce the addition of Thai capital markets veteran Yaowarote Klinboon to the firm’s Bangkok office. Yaowarote joins the firm as a partner and head of capital markets, alongside four associates who also join the firm’s capital markets team.

With over 20 years of experience in domestic and international capital markets, Yaowarote is one of Thailand’s most prominent capital markets lawyers. She is experienced with securities offerings under Rule 144A/Regulation S of the US Securities Act, the Rules and Regulations of the SGX-ST, and with the requirements of the Stock Exchange of Thailand. She is also adept at advising public listed companies on general corporate matters, corporate governance, and mergers and acquisitions, and actively advises both issuers and underwriters on international and domestic offerings of equity and debt instruments. She is internationally recognized for her securities work with top-tier financial advisory houses and financial institutions, and is ranked by leading global directories including Chambers and Legal 500.

Yaowarote joins Tilleke & Gibbins from the Bangkok office of a leading American law firm, and has also worked with a boutique securities law firm, a leading Thai law firm, and as a legal officer in both the Securities and Exchange Commission and the Stock Exchange of Thailand.

She is accompanied by senior associates Karinevidch Olivero, Phatamol Phisitbuntoon, and Sittiwate Jewsittiprapai, and by associate Wisara Harnchonboth.

Tilleke & Gibbins is pleased to announce the addition of Patcharaporn Pootranon and Saravut Krailadsiri as partners in the firm’s Bangkok office, further strengthening its capital markets and tax practices. Patcharaporn Pootranon joins the firm’s capital markets practice, bringing almost 20 years of experience in capital markets, corporate law, mergers and acquisitions (M&A), and taxation. She has been involved in many significant domestic and international M&A transactions, including securities offerings under Rule 144A/Regulation S under the U.S. Securities Act and under Thai securities law across different industries, including energy, food and beverages, retail, and others. Patcharaporn is ranked in the capital markets practice area by Chambers Asia-Pacific, and she was named one of Asia’s 40 Under 40 by Asian Legal Business in 2018. Joining the firm’s capital markets team alongside Patcharaporn will be Veerakorn Samranweth (senior associate) and Narita Sakunchotikarote (associate). Saravut Krailadsiri joins as a partner in the firm’s tax and corporate restructuring practice. His primary focus for the past two decades has been on tax, corporate restructuring, and cross-border M&A. Saravut provides comprehensive legal and tax counsel, including risk management advice for group restructuring and entire business transfers (EBT). Michael Ramirez, a counsel in Tilleke & Gibbins’ dispute resolution group in Bangkok, will provide the Thailand legal outlook at a Thailand Regional Forum meeting to be held at Sasin School of Management on June 9, 2022. The event will be a special relaunch meeting of the Thailand Regional Forum, an initiative established by Dataconsult some 35 years ago. After a hiatus during the COVID-19 pandemic, the forum is restarting with Sasin School of Management as its new home. The Thailand Regional Forum at Sasin plans to hold regular meetings from July onward. The meeting will consist of forecasting panel presentations and roundtable discussions. In addition to Michael’s presentation of the legal outlook for Thailand, other speakers will offer insights into Thailand’s political, risk, economic, and human resources outlook in the coming year. Following the presentations, the speakers and attendees will participate in a roundtable discussions and Q&A to address any questions that came up during the session and to consider various potential scenarios.
