Tilleke & Gibbins Hosts Directors’ Liability Seminar 2019

Directors of Thai companies are subject to a range of statutory duties and restrictions that affect every aspect of their role within a company, and directors who act outside that regulatory framework can risk serious repercussions. Because it is vital that companies stay up-to-date on the latest legal developments affecting those duties, Tilleke & Gibbins is proud to present a complimentary annual seminar on the topic.

For this year’s seminar, participants have the option of attending the session in either English or in Thai. The seminar will be held in English on September 25, 2019, and in Thai on September 26.

Tilleke & Gibbins’ specialists will lead discussions on the latest pertinent legal developments. Kobkit Thienpreecha, partner and deputy director of the firm’s corporate and commercial practice, will provide an overview of directors’ legal duties, which partner Chusert Supasitthumrong will follow with a presentation on directors’ civil and criminal liabilities. This will lead into a session on the litigation process, using real case studies provided by Michael Ramirez, consultant, on September 25, and by Chaiwat Keratisuthisathorn, attorney-at-law, on the next day. The program will end with a Q&A session to ensure that attendees can get answers to their own specific questions on the topic.

Tilleke & Gibbins’ dispute resolution team members delivered a three-day Thai-language webinar series from August 24 to 26, focusing primarily on complex civil litigation in the construction sector. Pathanin Sornchangwat, associate, and Suruswadee Jaimsuwan, counsel, presented the first session titled “Lawyers and a Solution to Construction Business and Contracts.” During the event, they discussed common problems in the construction sector, provided practical advice on how companies can examine contracts to prevent unexpected complications, and addressed the role of lawyers in settling disputes. On the next day, Chusert Supasitthumrong, partner, and Pongpalin Chantrapirom, associate, discussed termination of business contracts. Chusert first explained principles of termination, including cause, methods, results, damages, and key issues businesses should be aware of. Pongpalin then addressed bases for termination of a logistics contract, pointed out particularly notable elements of a contract, highlighted key differences between contract types, and shared precedent cases from the Supreme Court. In the final webinar, Dutsadee Dutsadeepanich, associate, and Noppramart Thammateeradaycho, counsel, discussed issues related to permit withdrawal—informed by previous condominium cases. They noted some consequences of the action, and shared  legal defenses that condominium project owners might use when facing such an obstacle. They also shared their insights on the ongoing case regarding a recent court ruling on the construction permit of Ananda Development’s Ashton Asoke condominium project. On August 16, Tilleke & Gibbins collaborated with the Thai Listed Companies Association (TLCA) to organize a Thai-language webinar titled, “Temporary Business Shutdown during the COVID-19 Outbreak” to assist business that have opted to temporarily shut down in order to alleviate financial difficulties due to the ongoing COVID-19 outbreak in Thailand In this webinar, Chusert Supasitthumrong, partner, and Piyawat Vitooraporn, associate, both in Tilleke & Gibbins’ dispute resolution group, discussed the criteria for temporary business shutdown under section 75 of the Labor Protection Act B.E. 2541 (1998), addressed employers’ right to government subsidies, and offered suggestions to business owners about how they can benefit from various relief measures. On August 5, Athistha (Nop) Chitranukroh and Peerapong Pornpipatkul of Tilleke & Gibbins’ corporate and commercial group in Bangkok were welcomed as keynote speakers for a session entitled “Legal Unfolded” under the Startup Starter Kit series. Hosted by Global Startup Thailand—an initiative cofounded by Startup Thailand and the National Innovation Agency (NIA)—the Startup Starter Kit series is designed to provide practical business advice to local and international entrepreneurs looking to capitalize on new opportunities in Thailand. During the session, Athistha and Peerapong led attendees through an in-depth look at common legal concerns for startups in Thailand, including extensive discussions on: local laws and legal issues to consider before fundraising; negotiating term sheets, share subscription agreements, and shareholders’ agreements; Thai cybersecurity and data protection laws; and potential exit strategies for entrepreneurs. On August 5, the International Chamber of Commerce (ICC) named Dutsadee Dutsadeepanich as one of 89 regional representatives worldwide in its Young Arbitrators Forum (YAF). Dutsadee, who will be serving a two-year term, is joining the YAF’s South Asia Regional Chapter as the only representative from Thailand among the chapter’s 16 representatives. The YAF is responsible for the promotion of ICC’s dispute resolution services and development of the organization’s extensive network of members. The forum, which is open to representatives up to age 40, helps young professionals build up their skills and knowledge of alternative dispute resolution such as the ICC’s arbitral procedures and disputes services. The representatives also oversee events that offer young arbitration practitioners in the region the chance to foster connections with one another and learn from experienced practitioners. Dutsadee will officially assume her new role as a representative in the YAF South Asia Regional Chapter in a ceremony at the biennial ICC YAF Global Conference, which will take place virtually on September 29.
