Prime Packaging’s THB 580m Sale of 100% Stake to BG Container Glass

Tilleke & Gibbins acted as legal counsel to the shareholders of Prime Packaging Co., Ltd. in the THB 580 million sale of a 100% stake in the company to BGC Packaging Co., Ltd., a subsidiary of BG Container Glass PCL.

Led by Auaychai Sukawong and Chaiwat Keratisuthisathorn, Tilleke’s team assisted with all legal aspects of the deal, including advising on deal structuring, pre-deal corporate restructuring, and tax planning; reviewing and finalizing the transaction documents; and representing the client in the closing of the deal. The first closing, where 75% of shares were transferred, was completed on March 31, 2023, and the remaining shares will be transferred in a second closing in 2025.
