EPC Agreements: Devising a Sound Contractual Framework for Renewable Energy Projects

The development of a renewable energy project requires, among a range of factors, engineers to design the facility, state-of-the-art equipment, and a reliable construction firm to implement the project. A key factor in a renewable energy project’s long-term success is devising an appropriate contractual framework to construct the facilities. This is a particularly important consideration, given the scale of many renewable energy projects and the financial sums at stake.  

An engineering, procurement, and construction (EPC) agreement provides a contractual framework whereby a contractor agrees to engineer, procure, and construct a specified structure. It is often referred to as a “turnkey” agreement, since it requires the sponsor or project company to simply “turn a key” to commence operations of the constructed facility.

Advantages of the EPC Structure

From a project sponsor’s perspective, a main benefit of having an EPC agreement in place is that it provides a single point of contact and responsibility for the development of a particular project. For a project company, this avoids both the logistical confusion of coordinating among separate design and construction firms, as well as the necessity to allocate risk among various parties in terms of delayed or defective performance.

With an EPC agreement in place, the contractor is essentially tasked with designing the renewable energy project, procuring the materials necessary to build the structure, and then actually building it. While, in practice, it is not uncommon for an EPC contractor to hire one or more subcontractors to carry out certain construction works, the EPC contractor will remain directly liable to the project company for ultimate performance.

EPC Agreements vs. Fragmented Structures

A main advantage of an EPC agreement over a fragmented structure—where there are separate design, supply, and construction agreements—is its attractiveness to commercial lenders. In traditional limited recourse financing, lenders will be looking for guarantees that the project will be operational, and therefore generating revenue, within prescribed timelines. Since the EPC structure usually includes performance guarantees, such as a guaranteed minimum output capacity, it is generally considered as preferable to separate agreements where no single contractor will be able to provide such guarantees.

The contractual framework for the development of a renewable energy project will be as unique to that project as its technical aspects. It is not strictly necessary for developers to engage a single contractor to engineer, procure, and construct the facilities. Many developers of large-scale private sector wind and solar farms have inhouse engineering capabilities, as well as a network of global supply chains which can provide wind turbines or photovoltaic panels. Some developers will therefore choose to procure the necessary equipment from their own suppliers and engage design and construction firms separately.

In the case of dedicated biomass projects, one of the main technical considerations is the supplier of the boiler or combustor. Since this is a highly specified technical aspect of a biomass project, which will have a significant impact on the overall performance of the power plant, developers often procure the boiler themselves. If an EPC structure is used for the design and construction of a dedicated biomass power plant, meaning that the EPC contractor is willing to accept the technological risk associated with procuring the boiler, developers and project lenders frequently require a list of approved suppliers of the boiler to be included in the EPC agreement.

Key Provisions of EPC Agreements

There are a number of key provisions in an EPC agreement for a renewable energy project. The sponsor should obtain a security or performance bond for a certain percentage of the contract price from the contractor, to be called upon in the event of nonperformance or inadequate performance. The amount, form, and issuer of the bond should be considered. The timing and amount of liquidated damages, either in relation to delayed construction or inadequate performance, should be devised. It is important to draft these clauses precisely in order to clearly identify under what circumstances the liquidated damages must be paid and ensure that they are not excessive in the circumstances.

For solar and wind power projects, it is important to properly consider aspects of output measurement. Unlike power plant projects, which rely on steady sources of fuel such as biomass, wind and solar power plants rely on freely available fuel supplies. The EPC contractor must take notice of the testing regime provisions and ensure that these provisions coincide with the related clauses of the power purchase agreement between the project company and the offtaker.

Split Agreements

A variation of the standard EPC agreement is the “split agreement.” Many EPC contracts in the renewable sector contain both offshore and onshore agreements, whereby the design and procurement phases of the EPC contractor’s work take place offshore. The onshore company, which carries out the construction work, can either be an affiliate, a joint-venture company in which the offshore EPC contractor has a stake, or an unrelated third-party construction firm which has entered into a consortium with the offshore contractor to complete the renewable energy project.

In renewable energy projects where the offshore and onshore works are to be split, the drafters of the EPC agreements must be mindful of the division of responsibilities between the offshore and onshore contractors. The sponsors of the project should ensure that both the offshore and onshore contractors agree to be held jointly liable for any damages that result from delayed or defective performance. The division of tasks should be clearly outlined in the offshore and onshore agreements. The liquidated damages clauses should reflect the commercial bargain. If construction is stalled because of a delayed shipment, or if the power facility is not capable of generating the rated capacity, the offshore and onshore agreements should clearly stipulate how much the sponsor or project company is entitled to claim.

Given the scale of many renewable energy projects, as well as the financial sums involved, it is vital that the contractual structure for the design and construction of the facilities is properly considered, negotiated, understood, and agreed upon between the parties.

Thailand is continuing on its path toward comprehensive legislation to address climate change. In November 2024, the country’s Ministry of Natural Resources and Environment (MNRE) launched a public hearing on a new draft Climate Change Act following revisions made after an earlier hearing on a previous draft of the act. The revised version strengthens Thailand’s climate policy framework by introducing the Carbon Border Adjustment Mechanism (CBAM), modeled after the EU’s system of the same name. The new draft also restructures the planned Emissions Trading Scheme (ETS) and enhances carbon-tax provisions. These initiatives aim to minimize carbon leakage, promote fair competition for domestic industries, and encourage lower greenhouse gas (GHG) emissions. As of March 2025, the Department of Climate Change and Environment, under the MNRE, is awaiting the Ministry of Finance’s input on the draft act’s establishment of the Climate Fund, a fund to support business innovation in responding to climate change. After incorporating this feedback, the department will submit the refined draft for cabinet approval, expected in 2025. The legislation will then undergo Council of State review, with implementation expected in 2026. Key Provisions The draft Climate Change Act contains a number of provisions that will affect businesses. Some of the most relevant are discussed below. Mandatory ETS The ETS is a mandatory mechanism designed to control GHG emissions by setting emissions caps for designated industries in alignment with national targets. Under this system, businesses receive emissions allowances allocated through free allocation or auctions. This scheme incentivizes emissions reductions by allowing businesses that emit less than their allocated allowances to sell their surplus allowances. The Vietnamese government is in the process of amending the Law on Atomic Energy, originally issued in 2008, to harmonize with several newly enacted laws, establish a comprehensive regulatory framework governing nuclear energy in Vietnam, and serve as a legal basis to foster the implementation of ongoing and future nuclear projects in the country. The Ministry of Science and Technology has been assigned to lead the drafting of the amended Law on Atomic Energy. The second draft of the amended law (the “Draft”) was released in late February 2025 for public consultation to gather feedback from the community and stakeholders. Key Points The Draft introduces new regulations to ensure high standards of safe and secure use of nuclear materials, radioactive sources, medical and industrial irradiation, mining and processing of radioactive ores, and radioactive waste management, as well as requirements for enhancing capacity to prepare for and respond to radiation incidents and nuclear incidents. In addition, the Draft emphasizes environmental protection, public health in nuclear energy projects, and support for development and advancing nuclear technology capabilities in Vietnam together with enhancing international cooperation in this field. Below are some key points of the Draft: Approval and licensing requirements for nuclear facilities: The Draft requires investors or owners of nuclear facilities to obtain several permits and approvals as regulated by the government before implementation of construction or operation. Reporting obligations: In addition to periodic reports on operations, safety measures, and compliance with regulations, nuclear facilities are required to make, maintain, and update a number of their regular records related to radiation and nuclear safety for ad hoc reports when required by the competent authorities. As Vietnam continues its government restructuring, including the merging of several key ministries, the country is signaling that mergers of provinces could be next. Conclusion 126-KL/TW of the Politburo and Secretariat, issued on February 14, 2025, sets out several tasks for continuing to streamline the political system in 2025, notably including, among others, the following: Elimination of intermediate administrative levels, and mergers of provincial units: The Government Party Committee is tasked with researching and planning for the elimination of intermediate administrative levels (district levels); reorganizing the commune level with structures, functions, duties, powers, and responsibilities aligned with the new organizational model; and proposing the merging of some provincial administrative units. A report to the Politburo is required by Q3 2025. Reorganization of police structure: The Central Public Security Party Committee is tasked with leading and coordinating the implementation of a three-tier police organization, eliminating the district-level police. Judicial system reforms: The Central Party Committees of the Supreme People’s Court and the Supreme People’s Procuracy are tasked with researching and advising on the organizational model for courts and procuracies, and proposing amendments and supplements to relevant party mechanisms and state laws, with the aim of eliminating the district level. On January 24, 2025, the prime minister of Vietnam issued Decision No. 232/QD-TTg, approving the proposal for establishment and development of a carbon market in Vietnam. The decision establishes a compliance mechanism for greenhouse gas (GHG) emitters and creates opportunities for investors interested in carbon trading in Vietnam. Market Development Roadmap Decision 232 establishes a phased approach to developing Vietnam’s carbon market, with the following ambitious milestones: Before June 2025 (preparation period): The legal framework for trading of emissions quotas and carbon credits and a carbon-credit offset exchange mechanism will be developed, along with the necessary infrastructure for organization and operation of the carbon-credit market. From June 2025 to the end of December 2028 (pilot period): A pilot domestic carbon exchange will be launched, with continued legal refinements. From 2029 (official launch period): The carbon market will be fully operational. Carbon Market Structure and Trading Mechanisms Vietnam’s carbon market will function as a centralized, government-regulated exchange, trading two main assets: GHG emissions quotas (allowances) allocated to regulated emitters, which can be traded or auctioned; and Carbon credits generated from domestic and international projects that are certified for trading. The carbon credits generated from international projects include those originating from international exchange or offset-crediting mechanisms such as the Clean Development Mechanism (CDM), the Joint Credit Mechanism (JCM), and Article 6 of the Paris Agreement. The National Registration System for GHG emissions quotas and carbon credits will be primarily developed and operated by the Ministry of Natural Resources and Environment. Transactions of GHG emissions quotas and carbon credits will occur on the domestic carbon exchange, managed by the Hanoi Stock Exchange, and will follow a centralized process where verified quotas and credits receive unique domestic codes for trading and participants must have depository accounts.
