Impacts from the COVID-19 pandemic have led some manufacturers to reduce costs by changing production methods, designs, or machinery, or reducing the number of employees on payroll. While these strategies may reduce costs and help their business survive, they may also result to lower quality goods. In the worst case, however, these poor quality goods may cancel out or even outweigh a manufacturer’s cost savings if the products are deemed to be unsafe for consumers under Thailand’s Product Liability Act (officially the Liability for Damages Arising from Unsafe Products Act). The Product Liability Act has been in force for 14 years. However, there have been few landmark Supreme Court decisions related to it as most cases are settled before the final judgment. Consequently, most business owners have limited knowledge of the precedent cases and are unsure about what actions they can take to manage and mitigate the risk of being found liable for claims of damages due to an unsafe product. The Product Liability Act identifies several types of entrepreneurs and business operators (individuals and entities) as “potentially liable parties” (PLPs) who may be penalized under the law: Manufacturers or hirers Importers Sellers of goods for which the manufacturer, hirer, or importer cannot be identified; Any other party who uses the name, trade name, trademark, or statements of the alleged unsafe products, or acts in a manner that causes them to be seen as a manufacturer, hirer, or importer The Product Liability Act defines a “product” as any kind of movable property that has been manufactured or imported for sale—including agricultural products and electricity, but excluding those ruled out by ministerial regulations. Therefore, real estate and services are excluded from the Product Liability Act. In keeping with the government’s strong focus on consumer protection in recent years, Cambodia’s consumer protection authority issued a notice on consumer product labeling on September 23, 2022. The notice from the General Department of Consumer Protection, Competition, and Fraud Repression (CCF) provides clarifications on labeling rules for general consumer products, goods, and services. The most significant clarification is that both locally produced and imported products, goods, and services must have a Khmer-language label or attach a product description in Khmer language. Imports may use a sticker with Khmer language as long as the minimum labeling requirements are met. The notice announces a transition period for companies to amend their labeling, allowing them to make changes to the labeling until December 31, 2022. According to the notice, the CCF will investigate and take enforcement measures starting January 1, 2023. This likely signals a major increase in enforcement efforts throughout 2023. Labeling Rules The CCF notice gives instructions on product labeling rules. In Cambodia, “product” refers to general products, goods, and services on the Cambodian market. Product-specific labeling regulations (e.g., for food products) overrule the requirements for these general products. The CCF notice provides the following instructions: All products on the market must have a label, or attach a product description, using Khmer language. Imported products that do not have a Khmer-language label printed on the packaging should provide a product description in Khmer. Companies can attach the necessary information or apply a sticker to the product. Trademarks on the products may use a foreign language but must be in line with the relevant local trademark registration. Foreign-language or different labeling is only permitted if authorized by the regulator, or by regulations that apply to a specific type of product. タイ中央銀行と金融政策局は、仏歴2551年(西暦2008年)金融機関事業法(以下、「金融機関事業法」とする)に基づき、自動車やオートバイの割賦販売・リースを規制する勅令案を作成した。 この勅令案は、タイで家計債務が急増する中、自動車やオートバイの割賦販売・リースに関わる債務残高の増加に対応・対処すべく作成された。現在まで、ノンバンクによる自動車やオートバイの割賦販売・リースは規制されておらず、料金・取引などにつき苦情が多く寄せられてきていた。   規制対象となる事業者の範囲 この勅令案により、自動車やオートバイの割賦販売・リースを行う事業者は、金融機関事業法の規制対象となる。 勅令案では、規制対象となる「割賦販売」と「リース」を以下のように定義している。 「割賦販売」とは、タイ民商法に従った自動車・オートバイの割賦販売である。すなわち、自動車・オートバイの所有者が顧客に割賦販売し、顧客が一定の支払いを行うことを条件に、自動車・オートバイの顧客への売却又は顧客への所有権移転を約束する契約である。 「リース」とは、ファイナンス・リース契約に基づき、貸主が借主の要望に応じて自動車・オートバイをメーカー・販売代理店等から調達し、自動車・オートバイを借主に対して賃貸しすることをいう。借主は、リース期間中はリース車両・オートバイを修理する義務を負い、中途解約することはできない。契約終了後、リース対象の資産を購入する権利は、貸主と借主の合意に従う。 この勅令案は、自動車・オートバイの割賦販売・リースを行うノンバンクである事業者に影響するであろう。一方、この勅令案は、金融機関事業法に基づく金融機関、特定の政府機関により規制・監視されている他の法律に基づく事業者、及び法人ではない事業者に対しては適用されない。   主なポイント 勅令案の主なポイントは以下の通りである。 事業者は、中央銀行が公表する基準に従って一定事項(適用金利、サービス料等)を開示し、中央銀行に報告書を提出しなければならない。またサービス料の計算方法等につき消費者に対して通知しなければならない。 勅令案は、中央銀行に事業者が遵守しなければならない基準を策定・公表する権限を与えている。対象となる事項には、契約の締結・履行、保証、事業者の営業内容の開示、自動車・オートバイの割賦販売・リースに関するその他事項など、幅広い事項が対象となる可能性がある。 中央銀行は、サービス料の計算方法に関する基準を策定・公表することができる。 合理的な理由がある場合に、中央銀行は事業者が消費者に請求する金利、サービス料、違約金に関連する基準等を策定・公表することができる。 違反があった場合、中央銀行 は警告書、違反行為を禁止する命令・指示を出すことができる。事業活動が公衆に害を及ぼす可能性があると判断された場合、中央銀行は事業者に対して、事業の是正や一部・全部の事業活動の一時的な停止を命じることができる。勅令案は違反に対する罰則として罰金と禁固刑を規定している。 中央銀行は勅令案につき公聴会を遂行し、現在、勅令案の法制化へ向けて手続きを遂行している。   備考:本和文は英文記事から作成しました。原文については、以下のリンクをご参照ください。 Bank of Thailand to Regulate Car and Motorcycle Hire Purchase and Leasing

The Bank of Thailand (BOT) and the Fiscal Policy Office have drafted a royal decree that will regulate the hire purchase and leasing of cars and motorcycles under the Financial Institution Business Act B.E. 2551 (2008). This draft royal decree, which comes at a time when the level of household debt is surging in Thailand, aims to address the rise in outstanding debts related to hire purchase and leasing of cars and motorcycles. In recent years, there has been growing concern about such financing for cars and motorcycles, as these arrangements conducted by non-banks are currently unregulated and have sparked many public complaints relating to fees and practices. Scope of Regulated Businesses By virtue of the draft royal decree, businesses carrying out hire purchase and leasing of cars and motorcycles will become regulated businesses under the Financial Institution Business Act B.E. 2551 (2008). The draft royal decree defines “hire purchase” and “leasing” as follows: “Hire purchase” refers to hire purchase of cars and motorcycles according to the Civil and Commercial Code—that is, a contract whereby an owner of a car or motorcycle hires out the vehicle to a customer, and either promises to sell it to the customer or promises that it will become the property of the customer, on the condition that the customer makes a certain number of payments. “Leasing” refers to renting of a car or motorcycle under a financial lease contract in which the lessor procures a car or motorcycle according to the lessee’s request from a manufacturer, distributor, or other party, or a car or motorcycle repossessed from another lessee, in order to allow the lessee to utilize the vehicle. The lessee is obligated to maintain and repair the leased car or motorcycle during the leasing term. However, the lessee cannot terminate the contract unilaterally before maturity. When Vietnam’s newly amended IP Law takes effect on January 1, 2023, bringing the country’s IP regime more in line with international standards, some of the most noticeable impacts will be in the copyright area. Some important changes in the amended IP Law are summarized below. Reproduction Reproduction is defined as the act of copying, in whole or in part, a work, sound or video recording, or broadcast program fixation by any means and in any form. Therefore, copying only a part of a copyrighted work would still be considered an act of reproduction and could be subject to relevant sanctions. Distribution Rights It is clearly provided that distribution rights are limited to products in a tangible form. Therefore, the act of making a work, sound or video recording, or broadcast program fixation available in digital form (through the internet, for example) will not be considered an act of distribution. Exceptions to Copyright Infringement The amended IP Law widens the scope of exceptions to copyright infringement. Exceptions have been added for, among others, persons with disabilities. The reproduction, performance, and communication of a work in an accessible format (when the persons involved have legal access to the original or copy of the work) is permitted. In addition, exceptions (including distribution rights) are added for not-for-profit organizations authorized by the government to operate in a related field. It is also notable that “works of art” and “the collection and anthologizing of works” are excluded from the permissible exceptions. Enforcement Against Infringements There are significant changes in the approach to identifying acts of copyright and related rights infringement. Specifically, instead of listing all the possible acts of infringement, the amended IP Law states that any acts violating moral rights and economic rights that do not fall under the stipulated copyright or related rights limitations and exceptions would be infringements of copyright

2023年1月1日、ベトナムにおいて新たに改正された知的財産法が施行され、ベトナムの知的財産制度が国際基準に沿ったものになると、顕著な影響が著作権の分野に現れる。改正知的財産法の重要な変更点を以下にまとめる。   [1] 複製(改正知的財産法第4条10、第20条1.c、第29条3.b、第30条1.a、第31条1.b)。 複製(reproduction)とは、態様又は形態の如何を問わず、一定の著作物または録音・録画の一部または全部の複製物を作成すること(再製)をいう。したがって、著作物の一部のみを再製することも複製行為とみなされ、制裁を受ける可能性がある。   [2] 頒布権(同法第20条1.d、第29条3.d、第30条1.b、第31条1.d) 頒布権(distribution rights)は有体物に限定されることが明記されている。したがって、著作物、録音・録画、放送番組の固定をデジタル形式で利用可能にする行為(例えばインターネットを通じて)は、頒布行為とはみなされない。   [3] 著作権侵害の例外(同法第25条、第25a条) 改正知的財産法は、著作権侵害の例外の範囲を拡大している。中でも、障害者に対する例外が追加された(第25a条)。複製、実演、(当事者が原著作物または複製物に合法的にアクセスできる場合)利用可能な形式での著作物の伝達が認められる(第25a条第1項)。 また、政府が認定した非営利団体が関連分野で活動する場合は、例外(頒布権を含む)が追加されている(第25a条第2項)。 さらに、「芸術の著作物」や「収集・編集著作物」 が例外として認められていないことも注目される。   [4] 侵害に対する権利行使(28条および35条) 著作権および隣接権の侵害行為を特定するアプローチに大きな変化がある。具体的には、改正知的財産法では、可能性のある侵害行為をすべて列挙する代わりに、著作権または隣接権の制限・例外規定に該当しない人格権や財産権を侵害する行為が著作権または隣接権の侵害となると述べている。 これは、現行の知的財産法のように、限定的なリストに含まれていないというだけで侵害行為が見逃されることが少なくなることを意味する。 加えて、知的財産法は、著作権および隣接権の権利者が著作物および隣接権の対象を保護するために使用する技術手段および権利管理情報に関する侵害行為を知的財産権に関する侵害行為として改正および導入している。 これらの著作権および隣接権の追加された侵害行為の導入は、著作権および隣接権の保護に関連して使用される効果的な技術手段または権利管理情報の回避に対する法的保護および効果的な法的救済を提供する。   [5] 著作権使用料の決定と分配(44a条) 知的財産法には、著作権使用料を共同著作者と共同所有者の間で決定し分配する原則に関する条項が追加されている。これは、著作物、実演、録音・録画、または放送番組への創作参加と資本貢献の相対的な割合を考慮し、(例えば、種類、形態、品質、数量または使用頻度に基づいて)使用形態に応じて、当事者間の相互合意を優先する。合意できなければ、政府の規則が適用される。   [6] 自身による保護に対する権利(198条) 当該権利権は、権利者が以下のことができるように拡大されている。 知的財産権の侵害を防止し、技術の急激な変化に対応するため、権利管理情報の提示その他の技術手段の実施すること 電気通信ネットワークおよびインターネット上の侵害コンテンツの削除を侵害者に要求すること 本改正は、著作権者がデジタル環境において著作権を侵害しているコンテンツを、当局の命令なしに削除するよう積極的に要求できるようにする革新的なものである。これにより、権利者が著作権を侵害しているコンテンツの削除をサービスプロバイダー (ISP)に要求する根拠となる。   [7] 著作権および隣接権の推定(198a条) 著作権および隣接権の推定について、環太平洋パートナーシップに関する包括的及び先進的な協定(CPTPP)第18.72条を遵守するための規定が導入されている。したがって、反証がない限り、「著作者、実演家、録音・録画製作者、放送事業者、映画製作者、その名称を一般的な方法で表示された出版者」は著作者と推定される(198a条1)。 本規定は、 (a) 権利者の立証責任、 (b) エンフォースメント機関による著作物の所有者の検証、を容易化することで、著作権侵害訴訟を加速させるのに役立つ。改正知的財産法は、「 名称の一般的な方法での表示」についてさらに明確にしている。   [8] サービスプロバイダー(ISP)の責任(198b条) 新たに導入されたISPの義務に関する第198b条は、現在の定義よりも広くISPを定義し、特定の種類のISPではなくその機能を列挙することによって、デジタル環境における著作権侵害に対処する効果的な方法をもたらす。さらに重要な点として、改正知的財産法は著作権および隣接権を保護するためにISPが権利者と直接調整する責任を規定する条項を導入しており、これによりエンフォースメントがより容易になる。 また、セーフハーバー(safe harbor)条項を享受するための条件として、テイクダウンとサイトブロックの仕組みが必要である、ISPに対するセーフハーバーが導入されている。具体的には、ISPは次の場合にのみセーフハーバーを主張できる。 デジタル情報コンテンツが送信元で削除されたこと、または、送信元からデジタル情報コンテンツへのアクセスがキャンセルされたことを認識している場合、デジタル情報コンテンツを削除するか、そのようなコンテンツへのアクセスを拒否する場合 著作権や隣接権を侵害していることが判明した場合に、速やかに削除またはアクセス禁止措置を講じる場合   [9] 共同管理組織(56条) 共同管理団体については、著作権使用料の料率や支払方法を文化・スポーツ・観光省に提出して承認を受けるなどの義務が追加されている。   備考:本和文は英文記事を翻訳したものです。原文については、以下のリンクをご参照ください。Vietnam’s Amended IP Law to Strengthen Copyright Protection

タイの個人情報保護委員会(PDPC)は、データ管理者がデータ主体の同意を得て必要な情報をデータ主体に通知する際に従うべき個別のガイドラインを発表した(個人データの収集、使用、又は開示に関するもの)。同ガイドラインに従うことで、データ管理者は個人情報保護法 B.E.2562(2019)(PDPA)に違反するリスクを軽減できる。 「個人情報保護法に基づくデータ主体からの同意の取得に関するガイドライン」及び「個人情報保護法に基づくデータ主体からの個人情報収集時における目的及び内容の通知に関するガイドライン」が2022年9月7日に公表された。   同意ガイドライン PDPCの同意取得に関するガイドラインには、同意が有効とみなされるための要件が記載されている。これらの要件には、同意依頼のタイミング、同意依頼に含める必要がある要素、及び同意依頼の性質に関する規定が含まれる。 例えば、同意は、個人データの取得前又は取得時に得なければならず、データ主体は、とりわけ、個人データの取扱いの目的及び詳細の両方について知らされなければならない。そして、データ主体が同意を与える際には、データ主体の明確で肯定的な行為が存在しなければならない。 未成年者からの同意の取得は、より厳格な要件の対象となり、データ管理者は、未成年者に関する個人情報を収集する際に、適切な本人確認及び年齢確認措置を実施する必要がある。このガイドラインでは、未成年者の年齢に応じて、10歳から20歳までと10歳未満に分けて、二種類の要件を定めている。大まかに言って、10歳から20歳までは、すべての状況において親の同意が必要とされるわけではないが、10歳未満は、親が代理して同意することが必要となる。 無能力者又は無能力者に準じる者は、必ず法定後見人の同意が必要となる。   通知ガイドライン 個人データを収集する際のデータ主体への通知に関するガイドラインは、公平性と利用目的の制限という2つの重要な原則を定めている。 公平性の原則のためには、データ管理者が明確かつ理解しやすい文言及び用語を使用すること、収集の前又は収集時にデータ処理に関する適切な目的、結果及びその他の関連情報を個人情報主体に通知することが必要である。本通知ガイドラインはさらに、データ管理者が個人データを取り扱う際に依拠する法的根拠、及び個人データの国境を越えた移転に関する詳細を通知に含めるべきであることを明確にしている。 利用目的を限定するという原則のためには、一般にプライバシーポリシーと呼ばれる通知が、明確、具体的で、合法的であることが必要である。 本ガイドラインは、プライバシーポリシーの形式に関してはフレキシブルである。プライバシーポリシーの提供は、書面でも口頭でもよく、提供手段は、様々な物理的手段、電気通信手段又は電子的手段でもよい。プライバシーポリシーへのアクセスにリンクを用いることも許容される。 データ主体自身以外の情報源から個人情報を収集する場合、データ保護に対するインパクトの評価を行うべきである。特に、データ主体が個人情報の収集について認識していない場合、若しくはデータ主体が同意しなかった場合、又はデータ管理者が大量の個人データを処理する際に新技術を使用する場合は、その評価を行うべきである。   同意依頼書及びプライバシーポリシー データ管理者が各分野の規制当局(例:タイ中央銀行、証券取引委員会事務局、保険委員会事務局など)の下で特定の法律の適用を受ける場合、そのデータ管理者は、その法律で規定されている標準フォームを採用しなければならない。規定された標準フォームがない場合、データ管理者は、PDPCガイドラインの規定を遵守する際に、業界団体が推奨する標準フォームを使用することができる。   Tilleke & GibbinsのPDPAチームによる本ガイドラインに関する詳細情報、又はPDPA要件への準拠については、以下の執筆者までお問い合わせください。   備考:本和文は英文記事を翻訳したものです。原文については、以下のリンクをご参照ください。 Thailand Issues Guidelines on PDPA Consent and Notification Requirements
