Biography

Passanan Suwannoi is a senior associate responsible for serving Tilleke & Gibbins’ clients across a wide range of corporate and commercial matters. Passanan has particular expertise in capital markets, regularly assisting clients with listing on the SET and the MAI, securities offerings, SET and MAI regulatory compliance, issuance of debt securities, preparation for IPOs, restructuring, and share issuance and sales.

He also assists domestic and foreign investors in setting up their business by obtaining the relevant licenses from government authorities, or by obtaining an investment promotion from Thailand’s Board of Investment. He has accumulated experience in complex commercial transactions, including business transfers, joint ventures, employment issues, due diligence work, and various commercial agreements. He also works closely with our market-leading dispute resolution team to advise on the unique industry considerations of public listed companies handling cases in the Thai courts. Passanan holds a lawyer’s license from the Lawyers Council of Thailand and is a member of the Thai Bar Association.

  • Regularly represents companies across diverse industries in listing securities on the SET and MAI.
  • Assisted a leading IT services provider in the travel industry in becoming the first Regional Operating Headquarters in Thailand. They qualified for the new tax incentives provided by Thai Revenue Department in 2010.
  • Assisted a Thai-Japanese joint venture company in the steel wire industry in setting up its manufacturing base in Thailand, with an investment promotion from Thailand’s Board of Investment.
  • Advised a facility management service provider on matters concerning the business transfer, the acquisition of shares and assets from the target company, and all related transactions.
  • Advised an Indian pharmaceutical products manufacturer and distributor during a full acquisition of a Thai distributor of pharmaceutical products.
  • Assisted an international logistics service provider in acquiring a majority of shares from Thai logistics operators, represented the client during negotiations, and concluded the relevant agreements with their business partners.
