Kulphassorn Sosakulwattana is an associate in Tilleke & Gibbins’ corporate and commercial group in Bangkok. She advises multinational corporations, foreign investors, Thai listed companies, and leading domestic businesses on corporate transactions and regulatory matters. Her practice covers mergers and acquisitions, joint ventures, corporate restructurings, foreign direct investment, Board of Investment (BOI) investment promotion, Foreign Business Act matters, capital markets, licensing and regulatory compliance, and general corporate advisory work. She regularly assists clients throughout the transaction lifecycle, from structuring and due diligence to negotiations, closing, and postcompletion implementation. Her experience spans the technology, automotive, manufacturing, financial services, insurance, healthcare, hospitality, retail, consumer products, and real estate sectors.

She is recognized for combining technical legal expertise with commercial insight to deliver practical and strategic solutions. She has advised on landmark and first-of-their-kind transactions in Thailand, including the primary BOI investment promotion for full EV manufacturing, complex cross-border mergers and acquisitions, corporate restructurings, major retail licensing projects, and high-value technology investment promotion matters.

Prior to joining Tilleke & Gibbins, Kulphassorn worked at another leading law firm in Thailand and the Bangkok office of one of the world’s largest professional services firms. She earned an LLM in International Financial Law from King’s College London and an LLB from Thammasat University. She is a licensed lawyer in Thailand and is an extraordinary member of the Thai Bar.

  • Advised international automotive and technology companies on obtaining Board of Investment (BOI) investment promotion for strategic investment projects in Thailand, including the primary BOI investment promotion for full EV manufacturing and data center businesses, and assisted with investment structuring, regulatory strategy, and BOI applications.
  • Advised leading multinational companies in the payment technology, hospitality, and media sectors on the Thai aspects of cross-border mergers and acquisitions, which entailed conducting legal due diligence and advising on transaction structuring, transaction documentation, regulatory matters, and closing.
  • Advised multinational manufacturing and food and beverage groups on complex corporate restructurings, including the amalgamation of multiple private and public companies and the establishment of joint venture structures, which included coordinating corporate approvals, regulatory filings, licenses and permits, and posttransaction implementation.
  • Advised companies on capital markets transactions in connection with proposed initial public offerings (IPOs) and listings on the Stock Exchange of Thailand (SET) and the Market for Alternative Investment (mai), including leading companies in the media and animation, healthcare, education, telemarketing, food and beverage, and trading sectors, and assisted with legal due diligence, corporate restructuring, regulatory compliance, and transaction documentation to prepare and support the successful listings.
