POSITION SUMMARY

Areas of Responsibility

Legal Practice

  • Advise on and handle corporate establishment and business registration for profit and non-profit entities, corporate changes, including structuring options, legal requirements, and implementation timelines.
  • Provide legal advice and handle the applications for investment promotion from the Board of Investment (BOI), including direct engagement with authorities and oversight of all required documentation.
  • Advise on, prepare documentation of, oversee the convening of Board of Directors, Annual General Meeting, and Extraordinary General Meeting, ensure compliance with applicable laws, and supervise corporate registration and filings by paralegals.
  • Conduct legal research, inquire regulators and government agencies, and provide legal advice on corporate advisory matters, including corporate restructuring merger, amalgamation, business transfer, and general compliance.
  • Provide legal advice on the Foreign Business Act (FBA) and related foreign investment regulations, market entry, establishment structuring, investment promotion, foreign employment, immigration, other specific business laws, including assessment of applicable restrictions, exemptions, and licensing.
  • Prepare, review, and manage Foreign Business License (FBL), Foreign Business Certificate (FBC), and Certificate of the Registration Number of the Juristic Person applications, authority queries, approvals, and ongoing post-approval compliance.
  • Prepare, review, and manage Thailand BOI investment promotion applications and post-approval compliance, including promoted activity conditions, reporting obligations, amendments, and coordination with relevant government authorities.
  • Correspond with clients, take responsibility for the matter, provide verbal advice, draft legal opinion, attend meetings, and provide support to senior associates and partners as assigned.

 Client Development and Work and Relationships Management

  • Contribute to the preparation of marketing materials, legal updates, and client alerts on corporate law and regulations concerning foreign investments, as well as other legal areas as assigned, under the guidance of senior associates and partners.
  • Conduct research and draft articles or publications on various legal topics for review and approval by senior team members.
  • Support the preparation of proposals and pitch materials for new business opportunities as directed.
  • Participate in internal and external practice development activities, seminars, webinars, and conferences as appropriate or as assigned to develop knowledge and professional networks, attend networking event and social functions.
  • Work collaboratively within the team and communicate progress on assigned tasks to supervising lawyers in a timely manner.
  • Managing assigned tasks and deliverables efficiently while seeking guidance from senior associates and partners when needed.

Administrative Tasks

  • Manage administrative tasks in a professional and timely manner, including time recording, conflict checks, document organization, billing support, and other internal administrative processes.
  • Maintain and prepare internal know-how, templates, precedent and presentation materials, regulatory updates, and internal records.

Qualifications

Knowledge and Experience

  • At least 4 years of post-qualification experience, with a focus on corporate services and foreign direct investments.
  • Strong interest in developing long-term practice in corporate law, foreign investment-related laws, and regulatory advisory work.
