POSITION SUMMARY

Legal Practice

  • Work with team of lawyers to assist clients in corporate and M&A transactions and take ownership of significant workstreams, including leading, managing and coordinating due diligence exercises by identifying material risks and preparing substantive findings in the context of the transaction.
  • Draft, review, and negotiate principal transactional and definitive agreements, including term sheet, heads of term, sale and purchase agreements, shareholders’ agreements, asset sale and purchase agreements, joint venture agreements, memorandum of understandings and any other transactional documents necessary to consummate M&A transactions, and other legal documents to support the post-merger integration process for the transaction.
  • Provide legal advice for clients on foreign investment laws, domestic and cross-border M&A transactions and other industry and sectors specific regulations and other regulatory advice, including anti-money laundering, banking regulations, securities regulations, and general compliance matters.
  • Advise clients on transaction structuring, corporate governance, regulatory approvals, foreign ownership restrictions, licensing requirements, merger control, and other applicable legal and regulatory matters which relate to M&A transactions.
  • Lead, assist and co-ordinate with relevant stakeholders and clients on execution, signing, closing, and post-closing implementation for M&A transactions, including providing ancillary support in connection with the transaction.
  • Perform other assigned legal work in corporate and M&A areas.

Client Development and Work and Relationships Management

  • Take initiative in designing and implementing business development and marketing plans for Corporate and M&A practice group for Thailand office and the firm’s overseas offices in the region.
  • Regularly assist with the drafting of articles and give presentations that increase the firm’s visibility, which results in new business opportunities.
  • Participate in preparing proposals and pitching materials for new business from current or prospective clients.
  • Identify and participate in relevant conferences as agreed partner(s)/department heads.
  • Effectively and efficiently manage projects and matters assigned.
  • Act as the primary point of contact for clients, as well as providing legal opinions and analytical responses to clients’ requests for legal advice.
  • Mentor, supervise and guide junior associates, paralegals and other team members of the Corporate/M&A team assigned to be under supervision.

Qualifications

Knowledge and Experience

  • At least 5 years of demonstrated experience in corporate law and M&A transactions.
  • A proven ability to manage complex matters and deliver high-quality legal services within fast-paced transaction timelines.
