POSITION SUMMARY

Areas of Responsibility

Legal Practice

  • Assist with corporate establishments for profit and non-profit entities, corporate changes, including preparation of required documents and supporting materials.
  • Assist with preparation of Board of Directors, Annual General Meeting, and Extraordinary General Meeting documentation, including notices, minutes, and resolutions.
  • Conduct legal research and prepare preliminary advice on corporate law, the Foreign Business Act (FBA), foreign investment regulations, corporate restructuring, merger, amalgamation, business transfer, investment promotion, foreign employment, immigration, other specific business laws, and general regulatory compliance matters.
  • Coordinate with regulators and government agencies including the Department of Business Development, the Board of Investment (BOI), Office of the Consumer Protection Board (OCPB), and other competent authorities as required.
  • Assist in preparing Foreign Business Licenses (FBL), Foreign Business Certificates (FBC), Certificate of the Registration Number of the Juristic Person, and BOI promotion.
  • Handle work assignment, provide support to senior associates and partners as assigned.

Client Development and Work and Relationships Management

  • Contribute to the preparation of proposal, marketing materials, legal updates, and client alerts on corporate law and regulations concerning foreign investments, as well as other legal areas as assigned, under the guidance of senior associates and partners.
  • Assist in researching and drafting articles or publications on various legal topics for review and approval by senior team members.
  • Support the preparation of proposals and pitch materials for new business opportunities as directed.
  • Participate in internal and external practice development activities, seminars, webinars, and conferences as appropriate or as assigned to develop knowledge and professional networks.
  • Work collaboratively within the team and communicate progress on assigned tasks to supervising lawyers in a timely manner.
  • Handling assigned tasks and deliverables efficiently under close supervision of senior associates and partners.

Administrative Tasks

  • Manage administrative tasks in a professional and timely manner, including time recording, conflict checks, document organization, billing support, and other internal administrative processes.
  • Assist with maintaining and preparing internal know-how, templates, precedent and presentation materials, regulatory updates, and internal records.

Qualifications

Knowledge and Experience

  • 1-3 years of post-qualification experience (preferred), with a focus on corporate services and foreign direct investments.
  • Strong interest in developing long-term practice in corporate law, foreign investment-related laws, and regulatory advisory work.
  • Ability to conduct legal and factual research, summarize findings clearly, and assist in preparing legal advice and regulatory submissions.
