David Lawrence to Speak on Director and Officer Liability at AMCHAM Thailand Event

While directors are generally excluded from being held personally liable for the actions they carry out in the course of managing their companies—provided they act reasonably within the scope of their granted authority—there are, however, certain circumstances whereby their actions can incur civil and criminal liability. To discuss these issues, David Lawrence, a consultant in Tilleke & Gibbins’ dispute resolution and litigation group, will be making a presentation at the AMCHAM Thailand event, “Joint SME & Legal Committees: Director and Officer Liability in Thailand.” Among other things, he will focus on the instances where personal liability can attach to directors; how to proactively mitigate the risk of personal liability; and how to recognize and manage situations where personal liability is likely to be used as a tool to gain an advantage over a director or company.

AMCHAM Thailand provides a point of exchange and coordination of efforts to improve business conditions and opportunities for American and American affiliated organizations. On March 2, the Australian-Thai Chamber of Commerce (AustCham Thailand) elected new executives at its annual general meeting. In the ballot, Chaiwat Keratisuthisathorn, a partner in Tilleke & Gibbins’ coporate and commercial group, was reelected to the board of directors and chosen to become one of the organization’s vice presidents. Having recently completed his first two-year term on the AustCham Thailand board, Chaiwat’s reelection on March 2 marks the beginning of his second consecutive term. The vice president position to which he was named—one of four in Austcham—carries a one-year term. In his role as director and vice president, Chaiwat continue to represent AustCham Thailand and Tilleke & Gibbins in high-level meetings, organize and participate in AustCham Thailand activities and events, and further support the interests of the Australian business community in Thailand. Tilleke & Gibbins partners in the firm’s Bangkok and Hanoi offices were quoted in Lex Mundi’s newly released Global M&A Trends Report 2022. The report covers notable trends, issues, and forecasts for mergers and acquisitions (M&A) around the world. Kobkit Thienpreecha, partner and director of Tilleke & Gibbins’ corporate and commercial department, was sought out for his comments on the M&A picture in Thailand, while Thomas Treutler, partner and managing director of the firm’s Vietnam offices, gave his insights into the M&A landscape in Vietnam. The Global M&A Trends Report 2022 was produced by the Lex Mundi Cross-Border Transactions Group, and it analyzes M&A deal activity by sector and market. Overall, the report, which compiles market intelligence from practitioners in 66 jurisdictions, finds that 2021 was a record year for M&A deal activity and that most jurisdictions expect to see a similarly active environment in 2022. Noppramart Thammateeradaycho, a counsel in Tilleke & Gibbins’ dispute resolution practice, has been appointed as an arbitrator by the Shenzhen Court of International Arbitration (SCIA). Noppramart is a recognized leader in international arbitration in the region, with special experience in arbitration of disputes involving the maritime, transportation, insurance, and construction sectors. Her term as an arbitrator will run until February 20, 2025. The SCIA, which was established in 1983 as China was undergoing economic reforms and liberalization, was the first arbitration institution in the Guangdong-Hong Kong-Macao Greater Bay Area. Noppramart Thammateeradaycho, a counsel in Tilleke & Gibbins’ dispute resolution practice, has been appointed to the new panel of arbitrators announced recently by the Shanghai Arbitration Commission (SHAC). Noppramart, who was one of two attorneys from Thailand named to the new SHAC arbitration panel, will provide particular support in relation to arbitration of disputes involving the maritime, transportation, insurance, and construction sectors. She is joined on the panel by arbitrators from a wide range of professional backgrounds, with expertise diverse fields including economics, judicial procedure, business, intellectual property, finance, and many more. SHAC, which has grown considerably since its establishment in 1995, is one of the major international arbitration institutions in China. It provides alternative dispute resolution services to companies, organizations, and individuals involved in contentious matters that both parties have agreed to resolve through arbitration rather than litigation.
