Biography

Napassorn Puapanniwat is an associate in the capital markets practice at Tilleke & Gibbins in Bangkok. She advises clients on various capital markets products, such as debt and equity securities, derivatives, trusts, and investment funds. She also provides legal support for processing applications and filings related to local and cross-border securities offerings, IPOs, disclosure reports, compliance matters for public companies, tender offers, M&A, and other capital markets transactions.

In addition, she assists clients in a wide range of corporate matters, including company formation and dissolution, shareholding structures, due diligence, permit and license requirements, and drafting and reviewing commercial agreements.

Napassorn graduated with an LLB from Chulalongkorn University.

Experience

  • Contributed to advising a publicly listed company on issues regarding document disclosure and regulatory requirements.
  • Assisted a multi-service platform on matters regarding e-payment business, transportation licensing, and regulatory compliance.
  • Assisted with preparation of legal documents for the dissolution of a company, including the Department of Business Development cancellation of business, Bank of Thailand notifications regarding service discontinuation and changes of control, and termination letters to the company’s business partners.
  • Drafted and reviewed corporate legal documents, such as nondisclosure agreements, company terms and conditions, shareholders’ meeting minutes, and EGM resolutions for capital increases, ensuring compliance with Thai law.
  • Performed comprehensive litigation searches to obtain essential case data for due diligence and informed decision-making.
