POSITION SUMMARY

This position is for a mid-level associate to assist partner(s) and senior associates in the Capital Markets practice group, which covers a full range of capital market products and securities transactions (including securities issuance and IPOs). The lawyer is expected to have legal knowledge in the field and capabilities in rendering professional advice and managing complex cases.

Areas of Responsibility

Legal Practice

  • Assist senior associates in advising clients on various types of capital markets products, such as debt and equity securities, derivatives, trusts and investment funds, including securities businesses, asset management, investment advisory, fund management, private equity, and securitization.
  • Advise and process applications and filing related to capital markets transactions, such as securities offerings (both local and cross-border), IPOs, tender offer and M&A, disclosure reports, corporate registration and compliance matters for public companies, exchange trading rules, listing and delisting, corporate governance, and ESG.
  • Assist senior associates in drafting, reviewing, and negotiating contracts and complex deals; prepare all legal documentation related to capital markets transactions, securities filings, mutual fund setup, registration statements, prospectus, term sheets, annual reports, etc.
  • Provide legal advice and guidance on legislative, regulatory, market practice, and forthcoming legal developments on capital markets-related matters.
  • Coordinate with clients and other stakeholders, including financial advisors, auditors, regulators (SEC and SET), shareholders, directors, etc.
  • Formulate legal strategies, provide legal opinions and analytical responses to clients, respond to inquiries, develop legal guides, complete questionnaire, and act as the primary point of contact for clients.
  • Perform legal research when and as necessary to resolve legal issues and determine the appropriate course of action regarding a particular issue/case.

 Client Development and Work and Relationships Management

  • Take initiative in designing and implementing business development and marketing plans for Capital Markets practice group for Thailand office and the firm’s overseas offices in the region.
  • Regularly publish articles and give presentations that increase the firm’s visibility, which results in new business opportunities.
  • Participate in crafting proposals and pitch for new business from current or prospective clients.
  • Identify and participate in relevant conferences as agreed partner(s)/department heads.
  • Take full ownership of work with minimal oversight from partner(s).
  • Effectively and efficiently manage projects and matters well.

 

Administrative Tasks

  • Manage other administrative tasks in professional and timely manners such as time recording, invoicing, billing and chasing aged-debt, matter opening, conflicts of interest, etc.

 

Specification

Knowledge and Experience

  • Knowledge of Capital Markets related laws and regulations.
  • At least 5 years of demonstrated capital markets experience, including equity and debt capital markets deals, M&A, IPOs, and high-yield experience.
