Biography

Linh Quynh Ngo is a senior associate with Tilleke & Gibbins’ corporate and commercial team, based in the Ho Chi Minh City office. She represents and advises international and local investors in M&A transactions as well as legal matters related to banking and finance, taxation, labor, real estate, and other areas related to their ordinary business operations, across a range of industries including pharmaceuticals, real estate, retail and distribution, and manufacturing.

Linh has more than 15 years of legal practice experience working with local and international firms. With her knowledge and experience in legal matters, corporate finance, and management, her understanding of and good relationships with governmental bodies, and her sharp analytical skills, she provides practical solutions to the challenges encountered by investors and companies doing business in Vietnam.

Experience

Advised the Hong Kong subsidiary of one of the world’s largest insurance companies and a leading group of insurance service providers with regulations on cross-border supply of insurance services in Vietnam.
Assisted the Vietnam subsidiary of an international healthcare insurance company to obtain required licenses for providing ancillary insurance services in Vietnam.
Advised a Singapore investor in the acquisition of a tourism and recreation project with the total investment capital of USD 2 billion.
Advised a Hong-Kong based real estate conglomerate in a number high-profile projects in Vietnam.
Advised on the implementation of several apartment complex projects in Vietnam.
Advised and assisted Vietnamese clients in employing international hotel management companies.
Assisted client to set up and operate a high-end cineplex system.
Represented one of the most successful movie production companies in Vietnam in calling for investment from foreign investors.
Advised a Malaysia-based financial services company in designing and standardizing numerous securities transactions.
Assisted Japanese investors in their venture investments in the ICT sector.

Highlights of the New Investment and Company Laws of Vietnam

On November 29, 2005, the National Assembly of Vietnam passed, among others, two new laws: (1) the Law on Investment No. 59/2005/QH11; and (2) the Law on Enterprises No. 60/2005/QH11. Both laws will take effect on July 1, 2006. Some of the important changes in the new laws are analyzed in this article.

New Regulations on Foreign Representative Offices and Branch Offices in Vietnam

Only seven months after the enactment of the new 2005 Commercial Law of Vietnam at the beginning of 2006, the Vietnamese Government has issued new regulations on foreign representative offices and branch offices in Vietnam under Government Decree No. 72/2006/ND-CP dated July 25, 2006. Compared with the regulation under the previous decree, this new decree seems to be a step backward in terms of the requirements for opening a foreign representative or branch office in Vietnam. This article describes the setbacks.

Tilleke & Gibbins Upholds Regional Dominance in Chambers Asia-Pacific 2024

The recently released 2024 edition of Chambers Asia-Pacific gives Tilleke & Gibbins high marks across all of the firm’s jurisdictions in Southeast Asia.
