Biography

Long Gia Nguyen is a partner in Tilleke & Gibbins’ corporate and commercial group, based in the Ho Chi Minh City office. Long is a highly accomplished attorney with extensive experience and expertise in real estate, hospitality, and M&A transactions. Recognized as a leading real estate lawyer in Vietnam by Chambers Asia-Pacific and The Legal 500 Asia Pacific, and shortlisted for the regional Construction and Real Estate Lawyer of the Year award at The Legal 500‘s Southeast Asia Awards 2023, he advises local and multinational clients on hospitality projects, structured real estate transactions, joint ventures, and foreign investment, as well as on the real estate and corporate aspects of mergers and acquisitions.

A real estate specialist with nearly two decades of experience as both in-house and outside counsel, Long has led numerous cross-border real estate projects (e.g., integrated hotel and casino projects, mixed-use development projects, branded residence projects, and tourism projects) across the Asia-Pacific region. In addition, his expertise in M&A transactions helps him effectively navigate complex deals and provide comprehensive legal counsel to clients involved in M&A activities.

In addition to his client work, he is a regular author and speaker on real estate matters and hotel management. Prior to joining Tilleke & Gibbins, Long spent more than 14 years with a top international law firm in Vietnam. He is licensed to practice law in Vietnam, has been admitted as an arbitrator at the Vietnam Traders Arbitration Center (VTA), and holds a certificate of auctioneer.

  • Advised the Vietnamese subsidiary of one of the world’s largest corporations on international cold storage on the expansion of cold storage business in Vietnam.
  • Advised and represented one of the world’s largest high-end furniture manufacturers in an M&A transaction relating to manufacturing business in Binh Duong province.
  • Represented a large family business in Thailand to invest in a 5-star hotel and resort, one of the first and largest projects on Bai Sao beach on Vietnam’s Phu Quoc island; and invest in a 5-star resort and hotel on Gam Ghi Island, Phu Quoc.
  • Advised a Japanese real estate development company on investing to buy shares from different investors in notable real estate projects in Ho Chi Minh City.
  • Advised a Thai developer and operator of industrial real estate sites to invest in Song Khoai Industrial Park in Quang Yen town, Quang Ninh province.
  • Advised a developer in Vietnam in restructuring a USD 2 billion complex project of golf course, hotel and casino at Lang Co, Hue.
  • Advised on development and sale programs for the Grand Ho Tram Strip project, a USD 4 billion resort and casino complex in Ba Ria – Vung Tau province.
  • Represented a Vietnamese investment fund to negotiate the sale of shares in a casino development project worth USD 4 billion in Hoi An, Quang Nam province. The transaction involved three jurisdictions: British Virgin Islands, Singapore and Vietnam.
  • Represented a Vietnamese investment fund in the sale of three iconic resort real estate projects in Vietnam involving three jurisdictions: British Virgin Islands, Cayman Islands and Vietnam.

On November 26, 2025, the government of Vietnam issued Resolution No. 8/2025/NQ-CP to extend and expand the pilot program allowing Vietnamese citizens who meet certain conditions to gamble at three integrated casino resorts in Vietnam: Corona Resorts & Casino Phu Quoc (An Giang Province) – Effective immediately, and continuing an ongoing pilot program that started in 2019. The Grand Casino Ho Tram (Ho Chi Minh City) – New pilot program for five years starting November 26, 2025. Van Don Integrated Casino & Tourism Complex (Quang Ninh Province) – New pilot program for five years from the date the casino receives its license. The pilot program was originally established under Decree No. 03/2017/ND-CP on casino business, which also sets out the specific eligibility conditions for Vietnamese citizens. After the pilot period, these projects must stop allowing Vietnamese players until the government issues further decisions. This expansion of the pilot program comes after Vietnam’s Ministry of Finance (MOF) released a draft decree earlier this year proposing significant changes to the regulatory framework governing casino operations. These revisions, which focus on increasing fiscal contributions from local players and strengthening compliance obligations for casino operators nationwide, are detailed below. Proposed Increase in Casino Entry Fees for Vietnamese Players The draft decree increases the entry fees applicable to Vietnamese citizens permitted to play at casinos. Under the current regulations, Vietnamese players are required to pay an entry fee of VND 1 million (approx. USD 38) for 24 consecutive hours or VND 25 million (approx. USD 950) per month. The draft decree proposes increasing these fees to VND 2.5 million (approx. USD 95) for 24 consecutive hours and VND 50 million (approx. On August 12, 2025, Vietnam’s Ministry of Agriculture and Environment submitted a draft law amending several provisions of the Land Law 2024 (“Draft Amended Land Law” or “Draft”) for government consultation and public comment. The Draft primarily aims to address three controversial issues in Vietnam’s land regime concerning (i) land pricing, (ii) land clearance, and (iii) the allocation of land outside auctions, following policy set out by Resolution 18-NQ/TW and the newly adopted Resolution 69-NQ/TW on land governance modernization. Land pricing is potentially one of the most important areas among the proposed reforms. The Draft, however, has notably not addressed a major concern recently raised by the public: When a project has been allocated or leased land, but the relevant authority has not yet issued the land-price decision, a “supplemental charge” continues to accrue for the entire waiting period. Under current rules, this charge is calculated at 5.4% per year on the ultimately determined land-use fee or land rent, materially shifting project economics and pricing risks to developers or end-buyers. Core Reforms on Land Pricing The Draft Amended Land Law sets out a number of reforms on land pricing, including the following: Land price tables: The Draft maintains provincial land price tables but clarifies the scope of application: They are used to determine land-related financial obligations of land users and compensation when the state recovers land; the government will detail the adjustment coefficient regime, ratios for land-use fee calculation by land type/user/form, and deductible infrastructure costs. On June 26, 2025, the National Assembly of Vietnam adopted Resolution No. 216/2025/QH15 to extend the duration of agricultural land use tax exemption through December 31, 2030. This policy extension reaffirms the government’s ongoing efforts to support the agricultural sector, ensure national food security, and promote rural development. Key Takeaways Tax Exemption Period Extended: The new resolution continues the full exemption from agricultural land use tax as stipulated under Resolution No. 55/2010/QH12, as amended in 2016 and 2020. The tax exemption, which was originally set to expire at the end of 2025, will now remain in effect until December 31, 2030. Scope of Exemption: The exemption applies to all types of land currently eligible under the existing legal framework for agricultural land use tax relief.
