Biography

Niphada Pornsuksawang is an associate in Tilleke & Gibbins’ corporate and commercial group in Bangkok. She advises both domestic and international clients across various industries on a wide range of corporate and commercial matters in Thailand, including market entry and company establishment, Board of Investment (BOI) promotion, permits and licensing, and tax incentives. She also advises on Thai customs law, including customs procedures, import-export licenses, advanced customs rulings, and customs privilege schemes in Thailand, such as customs-free zones, bonded warehouses, free trade agreements (FTAs), and the duty drawback process.

Prior to joining Tilleke & Gibbins, Niphada provided tax-related services in the Bangkok office of one of the world’s leading professional services firms. Niphada holds an LLM in International Trade and Commercial Law from Durham University and LLB degrees from Ramkhamhaeng University and Thammasat University, as well as a lawyer’s license from the Lawyers Council of Thailand.

Experience

  • Assisted an India-based manufacturer of high-end vehicles with conducting a feasibility study on manufacturing motorbikes in Thailand, which included advising on duty and tax implications, licensing requirements, and other issues relevant to its business plan for manufacturing bikes in a customs-free zone.
  • Assisted Singaporean and Chinese companies with importing electric vehicles, advised on energy policy, and applied for BOI and excise privileges in addition to participation in a customs-free zone scheme.
  • Advised a petroleum company on opportunities to benefit from customs privileges for tax savings and to become a regional trading hub for liquefied natural gas (e.g., customs-free zone, bonded warehouse, BOI).
  • Assisted a USA-based pharmaceutical and medical device company with internal health check services, which entailed advising on tariff classifications, customs valuation, FTA compliance, import licenses, customs broker management, document retention, and government compliance.
  • Assisted a German automotive company in applying for duty drawback and advised on compliance and the duty drawback process.

Only seven months after the enactment of the new 2005 Commercial Law of Vietnam at the beginning of 2006, the Vietnamese Government has issued new regulations on foreign representative offices and branch offices in Vietnam under Government Decree No. 72/2006/ND-CP dated July 25, 2006. Compared with the regulation under the previous decree, this new decree seems to be a step backward in terms of the requirements for opening a foreign representative or branch office in Vietnam.
