Acted for VinHMS in Complex Share Swap with U.S.-Based Company

Tilleke & Gibbins is proud to have acted as lead counsel to VinHMS in a complex share swap with U.S.-based Vemanti Group (OTCQB: VNMT), coordinating with Morgan, Lewis & Bockius LLP to facilitate the cross-border elements of the deal. As a result of the transaction, VinHMS will continue as a wholly owned subsidiary of Vemanti Group, with current CEO Hoang (Eric) Nguyen being appointed as the new CEO of Vemanti.

VinHMS is a technology company specializing in the development of cutting-edge products and solutions aimed at optimizing business operations in the hospitality industry. The company has existing operations in Cambodia, Singapore, Thailand, and Vietnam, and has expansion plans for Indonesia and the Philippines.

The acquisition is the culmination of an extended journey for VinHMS, where Tilleke & Gibbins collaborated closely every step of the way, devising innovative outbound investment structures for the client and crafting the requisite documentation for seamless implementation. The firm liaised with multiple stakeholders, including counterparts in the U.S. as well as the client’s investor, and was able to successfully manage expectations and provide strategic insights and structuring advice that not only saved considerable time and costs, but also effectively resolved issues and last-minute obstacles.

The regional team for this task was led by Ho Chi Minh City-based partner Long Gia Nguyen, and involved work in Vietnam, Cambodia, and Thailand, where Tilleke & Gibbins’ offices have extensive legal expertise and local experience. Tilleke & Gibbins aims to extend its assistance to VinHMS in its next stage of development in regions outside Southeast Asia, where the firm has a strong network of trusted partners.
