Petchada Kingwattanakul is a senior associate in Tilleke & Gibbins in Bangkok. She specializes in corporate and commercial law, mergers and acquisitions, foreign direct investment, and business restructuring in Thailand. She regularly advises multinational corporations, foreign investors, and Thai companies on cross-border transactions, corporate governance, regulatory compliance, Board of Investment (BOI) promotion, foreign business licensing, and commercial operations. She works with companies across a broad range of industries, including energy, oil and gas, manufacturing, transportation, retail, services, technology, and consumer products.
Petchada has extensive experience advising on the establishment and structuring of foreign-owned businesses in Thailand, obtaining investment promotion privileges from the Thailand BOI, foreign business licensing, joint ventures, shareholder arrangements, strategic investments involving both domestic and international stakeholders, and related regulatory compliance matters for international companies operating in Thailand. She is recognized for her practical and commercially focused approach, particularly in navigating Thai legal and regulatory requirements for foreign businesses and cross-border investments.
Petchada holds LLM degrees from both Thammasat University and the University of Sydney, as well as an LLB from Thammasat University, and has completed the Company Secretary Program from the Thai Institute of Directors. Petchada is admitted to the Lawyers Council of Thailand.
- Assisted a foreign-owned company in obtaining BOI investment promotion privileges for international business center operations in Thailand, which included advising on foreign direct investment structures and ongoing corporate and commercial compliance matters, facilitating the client’s regional business expansion and operational efficiency.
- Assisted a multinational retail and home furnishing business in successfully obtaining a foreign business license for its platform services relating to delivery and assembly arrangements in Thailand, which enabled the client to expand its omnichannel business operations and enhance customer service capabilities for both online and offline transactions.
- Advised an international oil and gas company on obtaining a foreign business license for the operation and management of commercial leasing arrangements within service station premises in Thailand. The project supported the client’s commercial expansion strategy and enhancement of retail services in line with global operational standards.
- Assisted an international engineering consultancy business in obtaining BOI investment promotion privileges and completing the commencement operation requirements for its promoted business in Thailand, enabling the client to benefit from investment incentives and expand its regional operations efficiently.
- Advised a listed mass transit company on a rights offering and capital increase involving the issuance of 60 million new shares to existing shareholders over two rounds, and assisted with regulatory compliance, corporate approvals, and implementation procedures required for the successful completion of the capital raising exercise.
- Assisted various Thai listed companies in annual general meetings of shareholders and corporate governance matters, including acting as legal advisor supervising shareholder meetings and advising on compliance with corporate and securities regulations in support of ongoing governance and regulatory obligations.
