Biography

Sanantinee Kasemmongkol is an associate in Tilleke & Gibbins’ corporate and commercial department in Bangkok, where she focuses on mergers and acquisitions, cross-border investments, and regulatory compliance. She advises international and domestic clients on company formation, ownership structuring, and licensing requirements, as well as Board of Investment (BOI) promotion and compliance. Sanantinee assists in every stage of complex transactions, including due diligence, implementation planning, and contract drafting, and supports clients with corporate governance, shareholder and board meetings, and regulatory filings.

Her expertise includes guiding clients through multijurisdictional regulatory issues, such as the Foreign Business Act, anti-money laundering measures, securities regulations, and emerging technology frameworks. She has particular experience supporting companies operating in the finance, energy, and technology sectors, providing practical solutions for market entry and expansion.

Sanantinee holds an LLM in Intellectual Property Law from Queen Mary University of London, an LLM in International Commercial Law from the University of Glasgow, and an LLB in Business and Taxation Law from Chulalongkorn University. Sanantinee is a licensed lawyer with the Lawyers Council of Thailand and an ordinary member of the Thai Bar Association.


Experience
  • Assisted in a cross-border M&A transaction valued at over USD 50 million in the assurance and travel services sector by conducting legal due diligence and litigation searches, reviewing share purchase agreement clauses, and providing risk assessments and recommendations to minimize exposure.
  • Developed a regulatory compliance framework for a digital asset brokerage, covering cryptocurrency licensing, tokenization, anti-money laundering and terrorist financing (AML/CFT) measures, securities laws, and data protection requirements, helping achieve regulatory readiness and a successful market launch in Thailand.
  • Researched Thai electronic transaction laws, focusing on e-meetings, e-signatures, and digital document execution under the Electronic Transactions Act, and advised on corporate governance compliance to enable seamless virtual approvals and legally sound digital business operations.
  • Conducted comprehensive research on ESG regulations, reviewing mandatory and voluntary reporting frameworks, sustainability disclosure standards, and corporate governance best practices to support client strategy, compliance planning, and policy development.
  • Assisted in advising foreign lenders on Thai share pledge regulations for cross-border financing, as well as providing analysis of the Foreign Business Act, pledge creation and perfection requirements, multi-lender security structures, and enforcement procedures to support enforceable collateral arrangements.
