Pongnut Mengkred is an associate in Tilleke & Gibbins’ corporate and commercial department in Bangkok, specializing in debt capital markets and corporate finance. With a strong track record representing clients in debt instruments transactions for all principal roles, he has played a hands-on role in numerous bond transactions—both public offerings and private placements—and has collaborated closely with leading financial institutions in the Thai bond market with deep understanding of the regulatory landscape. In addition to his debt capital markets work, Pongnut advises international and local clients on corporate services, company formation, technology and media, e-commerce, and legal compliance in Thailand.
Pongnut’s practical approach, shaped by in-house roles at a leasing company, an e-commerce platform, and an international law firm, enables him to deliver commercially focused solutions that support clients’ strategic goals, guiding companies through regulatory requirements in response to technological developments and the evolving mobility sector.
Pongnut holds an LLB and an LLM from Chulalongkorn University and is a barrister-at-law admitted to both the Lawyers Council of Thailand and the Thai Bar Association.
- Acted as legal advisor to Chuwit Farm (2019) Public Company Limited (BKK:CFARM) on all legal aspects of its IPO and listing on Thailand’s Market for Alternative Investment, with its first day of trading commencing on June 6, 2024.
- Provided legal advice related to company incorporation, including preparing documents and coordinating with relevant government authorities, such as the Food and Drug Administration, the Thai Industrial Standards Institute, the Electronic Transactions Development Agency, and others.
- Advised and assisted international clients on liability management exercises.
- Advised and assisted financial institutions and companies in relation to the offering and issuance of debt instruments.
- Assisted clients with establishment of companies in Thailand, including corporate registration with the Thai Ministry of Commerce and provision of ongoing corporate secretarial services.
- Conducted research on legal issues surrounding securities laws, regulations, and notifications of Thailand’s Securities and Exchange Commission, the Capital Market Supervisory Board, and the Stock Exchange of Thailand.
