Rujisaya Bubpaprohm is an associate in Tilleke & Gibbins’ corporate and commercial team in Bangkok. She provides a wide range of legal and commercial advice to international and local investors on mergers and acquisitions (M&As), corporate and commercial matters, foreign business issues, investment promotion, and banking and finance.
Rujisaya’s legal advice has assisted investors and multinational companies across an array of industries, including online platforms and services, e-commerce, banking, asset management, hospitality, oil and gas, energy services (ESCO) and projects, trading, manufacturing, and engineering. With a focus on commercial transactions and business growth, her client work often involves legal assistance for M&As and business restructuring plans, legal due diligence, contract negotiation and finalization, deal closing, and advice on establishing a legal entity in Thailand and securing the necessary licenses and permits.
Prior to joining the firm, Rujisaya worked for over eight years in one of the world’s largest business consulting firms. She is a member of the Lawyers Council of Thailand and is a qualified notarial services attorney.
- Assisted with the merger of two well-known commercial banks in Thailand by advising on legal restrictions and requirements under the Public Limited Company Act and legal and regulatory rules of the Bank of Thailand.
- Served as a legal advisor for a joint venture between a leading land developer and a reputed energy company on various matters, including the energy service agreement, the operation and maintenance service agreement, and other commercial contracts related to a large mixed-use real estate project in eastern Bangkok, in addition to helping the client obtain an energy service company (ESCO) license from the Ministry of Energy.
- Assisted one of the world’s leading asset management companies with establishing a legal entity in Thailand and helped the company secure an asset management license from the Bank of Thailand and institute systems for continued legal compliance.
- Provided a growing online hotel-booking platform with legal advice and implementation assistance in establishing an entity in Thailand, securing a foreign business license, and applying for investment promotion for e-commerce activities.
- Conducted a Board of Investment (BOI) legal audit for a large automotive manufacturer in relation to their manufacturing business promoted by the BOI, and assisted in implementing high-level solutions under each BOI certificate for significant savings on corporate income tax, retroactive taxes, and surcharges, thus minimizing exposure to potential taxation risks in the future.
