Biography

Ketnut Pukahuta is an associate in the corporate and commercial department of Tilleke & Gibbins’ Bangkok office. A well-rounded attorney with extensive experience across a broad range of industries, Ketnut advises local and multinational clients on critical legal compliance matters in Thailand, including matters related to labor and employment, work permits and visas, and foreign business licenses and regulations. She also has extensive experience reviewing, drafting, and advising on transactional agreements including sale and purchase agreements, service agreements, and distributorship agreements, among others.

Before joining the firm, Ketnut worked for four years at the Bangkok office of an international law firm, where she specialized in corporate, commercial, and labor and employment matters. Ketnut graduated with an LLB from Chulalongkorn University and an LLM from Durham University. She is fluent in both English and Thai.


Experience
  • Walked various clients through the process of ceasing employment of personnel, including planning and advising on options, steps, procedures, risks, and strategies for the cessation as well as preparing all relevant documents.
  • Conducted legal due diligence and risk assessments regarding legal compliance with employment and work safety laws and regulations in Thailand as part of various clients' proposed M&A transactions.
  • Assisted clients in drafting, reviewing, and amending a wide range of commercial contracts, including distributorship agreements, employment agreements, employment transfer agreements, service agreements, non-disclosure agreements, mutual separation agreements, non-competition and non-solicitation agreements, outsourcing agreements, and termination notices.
  • Advised clients on workplace-related issues including work safety, and remote work and work from home arrangements, and assisted in reviewing employment-related documents, including work regulations and employee handbooks.
  • Engaged to advise various clients on foreign business laws and regulations in Thailand, including assisting clients in preparing applications for foreign business licenses, and coordinating with officials at the Ministry of Commerce.
