Biography

Phuong Thi Minh Tran is a senior associate in the firm’s Ho Chi Minh City office. Her practice covers M&A and due diligence, licensing and corporate formation, and contract review, among other corporate and commercial matters. With a focus on client service, she provides responsive, reliable advice on issues of vital importance to businesses and investors in Vietnam. Phuong has worked with clients across a wide range of industries and is serving many well-known multinationals in the pharmaceutical sector.


Experience
  • Conducted due diligence on a water supply operator in Hanoi for the acquisition, by a leading Thai utility company, of a minority stake initially valued at nearly USD 100 million.
  • Assisted a multinational chemical manufacturing company in its acquisition of assets in Vietnam as part of a chain of transactions related to a global merger between two giants. Advised on and handled various licensing matters for the newly formed Vietnamese company such as change of office address, advice on VAT invoices, increase of capital, increase of capacity and addition of products to the production list.
  • Assisted an Italian baked goods company to conduct legal due diligence on the Vietnamese subsidiary of a Dutch chocolate company and ensure the satisfaction of the conditions precedent for a 100% acquisition.
  • Assisted a German bank in a project financing transaction in which the bank granted a loan to a local Vietnamese company developing a wind power project in north central Vietnam in the form of export financing. Advised the bank on the legal aspects of the loan from the Vietnamese law perspective and issued legal opinions in relation to the borrower and the guarantor.
  • Advised a Saudi energy company on the acquisition of 60% of the shares of a local Vietnamese company developing a solar power project in south central Vietnam. Later, advised the client in relation to the project financing transaction in which a local bank granted credit to the project company.
  • For a potential acquisition in the telecommunications sector by a Malaysian investment fund, conducted legal due diligence into eight Vietnamese subsidiaries which build and own base transceiver stations in Vietnam.
  • Conducted due diligence on a smart antenna manufacturer with a manufacturing facility in Hanoi for an acquisition by an American electronics manufacturer.
