Biography

Nithiya Phumejitpakdee is an associate in Tilleke & Gibbins’ corporate and commercial department, advising domestic and multinational clients on key legal matters in Thailand. She has extensive experience assisting foreign investors with investment opportunities in Thailand, offering advice on foreign business incentives, Thailand Board of Investment (BOI) applications, licensing and permits, due diligence for M&As and other commercial transactions, labor and employment, and a range of critical corporate and commercial contracts. In addition, Nithiya also regularly advises clients on compliance with local data privacy regulations under the PDPA, as well as with Securities and Exchange Commission (SEC) requirements for listed companies in Thailand.

Before joining Tilleke & Gibbins, Nithiya worked as a legal associate in the Bangkok office of a world-leading professional consultancy firm, where she advised multinationals on regulatory compliance for a wide range of general commercial matters affecting their Thai operations. An internationally educated legal professional, Nithiya received an LLM from the University of Wisconsin-Madison, an LLB from Thammasat University, and is fluent in Thai and English.


Experience
  • Advised domestic and international clients across various industries on full foreign ownership solutions in Thailand, including assistance on obtaining investment promotion and incentives from the BOI.
  • Assisted numerous international clients on market entry and company incorporation in Thailand, including the setup of representative offices and branch offices.
  • Advised a multinational client on compliance with SEC regulations applicable to a proposed global Employee Stock Option Program (ESOP), which would be available to its Thai employees.
  • Assisted a leading national financial institution, a world-leading hotel service, and numerous other local and international companies in conducting data mapping and gap analyses, as well as drafting and reviewing documents related to Thailand's PDPA.
  • Advised a global business solutions company on compliance with corporate statutory and regulatory requirements under Thai laws and regulations.
