Biography

Supasit Saypan is a senior associate in Tilleke & Gibbins’ corporate and commercial group in Bangkok. His practice focuses on corporate and commercial law, where he regularly advises domestic and international clients across various industries on company establishment and licensing in Thailand, including obtaining Foreign Business Licenses and securing investment promotion from Thailand’s Board of Investment. He also assists clients in conducting legal due diligence ahead of mergers, acquisitions, and other commercial transactions; advises on Thai customs law including import and export licenses, import duty privileges, bonded warehouses, advanced customs rulings, and compliance with customs procedures; and assists in a range of family-related private client work, including adoption and inheritance.

Supasit graduated with an LLB from the University of Exeter, a leading university in the United Kingdom, and received an LLM from Thammasat University in Thailand. He is fluent in Thai, English, and Hindi.

  • Regularly advising international clients across various industries on 100% foreign ownership solutions in Thailand, including obtaining Foreign Business Licenses and securing investment promotion from Thailand’s Board of Investment (BOI).
  • Assisted several clients in conducting due diligence investigations and providing legal analysis for mergers, acquisitions of shares, and entire business transfers.
  • Assisted a global luxury fashion brand in market entry and company establishment, product importation, and corporate secretarial services for its business operations in Thailand.
  • Represented a leading American multinational manufacturer of advanced electronic components with its THB 1 billion investment in Thailand via promotion privileges granted by the BOI, including advice on land ownership for construction of a local production hub in Southeast Asia.
  • Acting as a corporate secretary for various Fortune 500 clients to ensure compliance with statutory and regulatory requirements under Thai laws.
  • Assisted a world-leading manufacturer of dental implants, dental instruments, and other related dentistry products, in establishing a wholly owned subsidiary in Thailand for wholesale, retail, and aftersales service businesses activities.
  • Advised a client in a dispute against its director for breach of fiduciary duties and director’s liabilities under Thai law.
  • Assisted a client with issues relating to the inheritance of his father who was suffering from various illnesses and therefore did not have the capacity to sign any documents related to the inheritance. We assisted the client to prepare a living will in accordance with his father’s wishes.
  • Represented a company director who was being removed from his directorship in a way that breached the company’s internal regulations. We presented all of the possible outcomes to the client and assisted him to draft an appeal letter for consideration by the Department of Business Development to suspend any removal of his role as director of the company.  We successfully obtained the suspension.
  • Assisted an international nongovernmental organization that supports animal welfare to establish its legal presence in Thailand.
  • Provided assistance to a foreign couple to legally adopt a child in Thailand out of foster care.
  • Acted for a direct sale and direct marketing company in the United States to discuss and negotiate a takeover deal with a Thai Company. The case involved many complex legal issues, such as compliance with the Foreign Business Act and the implementation of an international direct-sales scheme.
  • Engaged by BIMobject, the world’s leading building information modeling technology company, to assist them in entering into a joint venture (JV) with CPAC, a subsidiary of the cement and building materials manufacturer SCG, which is valued USD 15.6 billion and is Thailand’s largest industrial conglomerate. We reviewed a set of agreements relating to the JV and advised on corporate structure, IP licensing, compliance, and other regulatory issues.
  • Engaged by Syngenta Asia Pacific Pte. Ltd., a Switzerland-based global leader in agricultural science and technology, to provide legal services to its subsidiaries in Thailand regarding solutions for operating as a 100% foreign-owned entity conducting full-cycle seed businesses and relocation of one of its business unit’s regional office from Singapore to Bangkok under the Board of Investment’s “international trading center” category.
