Biography

Doan Ngoc Tran is a senior associate in the corporate and commercial team of the firm’s Ho Chi Minh City office. Doan works on corporate matters such as drafting legal documents and handling licensing and post-licensing tasks, including work related to investment registration certificates, enterprise registration certificates, representative office licenses, and tax declarations. He also advises on and handles registration of internal labor rules with labor management bodies and registration of foreign loans with the State Bank of Vietnam.

Doan collaborates with clients and government authorities to ensure timely receipt of necessary documents and business licenses. He monitors the status of cases from beginning to end and provides frequent updates to clients. Doan is a member of the Ho Chi Minh City Bar Association and the Vietnam Bar Federation.


Experience
  • Advised on and handled all matters relating to registration of a foreign loan agreement for a Luxembourg logistics services company, including drafting of required documents, submission to the authority, and following up until receipt of result.
  • Advised on and handled all matters relating to dissolution of representative offices in Vietnam for Singaporean and American companies, including personal income tax issues.
  • Helped an American software company establish a subsidiary in Vietnam, including drafting the application file, submitting it to the licensing authority and following up until receipt of the investment certificate.
  • Helped a Luxembourg logistics company amend the investment certificate of its subsidiary in Vietnam as result of internal share acquisition.
  • Advised a global online sales company on provision of logistics services in support of sales activities.
  • Advised an international technology company on operating a representative office in Vietnam, including advising on the scope of work of a representative office, employment matters, tax matters, and government filing requirements. We prepared Vietnamese and English versions of labor contracts.
  • Investigated the prevalence of trademark infringement of a global apparel brand in Ho Chi Minh City.
  • Helped a worldwide manufacturer acquire a license to operate as a foreign-invested enterprise (FIE) engaged in the distribution of cutting tools.
  • Advised a Singaporean company on setting up a representative office in Vietnam and handled all post-licensing matters, including providing tax and banking advice.
