Biography

Tanadee Pantumkomon is a counsel in Tilleke & Gibbins’ corporate and commercial department, where he focuses on commercial transactions and M&A, and on a broader range of commercial services for clients in the energy industry. He has a broad range of experience in oil and gas industries, including concessions and product sharing contracts; tax planning for construction agreements and M&A transactions; and engineering, procurement, and construction (EPC) contracts for renewable energy installations and other power plant projects. He also has a deep understanding of Thailand’s environmental laws and labor matters, including labor disputes.

Tanadee is a trusted advisor to clients in negotiating and executing industry-specific transactions—especially in relation to EPC contracts. He was seconded as an in-house counsel to the Energy Regulatory Commission of Thailand (ERC) in 2016, and in 2017 he was one of the leading members of the team of legal counsel retained by the Thai Government to draft the product sharing contract (PSC) regulations and draft PSC model.

Tanadee is a member of the Thai Bar Association, a member of the Harvard Law School Association of Thailand, and a special lecturer on petroleum law, investment law, and project finance and development at the Chulalongkorn University Faculty of Law. He is a regular contributor to PTIT Focus —a publication of the Petroleum Institute of Thailand—for which he writes articles about oil and gas law and emerging environmental issues.


Experience
  • Assisted a client in bidding for an LNG port mega project in Thailand’s Eastern Economic Corridor (EEC). The joint venture of the client successfully secured the project. We also assisted the client in negotiating on the joint venture agreement among the shareholders of the project company. The project value is THB 47 billion (USD 1.47 billion).
  • Represented and advised a joint venture client on a successful bid for a THB 30 billion (USD 95.6 million) deep-sea port project in the EEC, and assisted the client in negotiating the joint venture agreement among the shareholders of the project company.
  • Reviewed and negotiated an engineering, procurement, and construction (EPC) contract for a waste-to-energy project in Thailand, negotiating against an international contractor and managing the tax planning for the EPC contract. The client closed the deal, valued at more than THB 2 billion (USD 62.5 million), satisfied with both the commercial aspects and the well-managed risk control.
  • Regularly engaged to advise domestic and international clients on automobile, aviation, and energy-related procurement contracts with the Thai government, including the negotiation of a THB 6 billion contract for the procurement of military-grade aircraft for use by the Thai military.
  • Assisted a client in obtaining all required project licenses, and structuring and executing all required agreements, for a 45 MW wind farm project valued at over THB 1 billion (USD 32 million).
  • Assisted a major wind farm operator in negotiating and successfully entering into a memorandum of understanding to co-operate with a wind farm project operating near one of the client’s operations, thereby expanding the capacity of both parties. The transaction value was more than THB 160 million (USD 5 million), as part of a larger project valued at more than THB 1 billion (USD 32 million).
  • Secured a victory for a solar power project investor in a shareholder arbitration under the Rules of the Thai Arbitration Institute (TAI), worth over THB 450 million (USD 14 million). The client’s resounding success may be attributed to the defensive strategy and in-depth understanding of the objectives and history of regulations and laws under the Energy Regulatory Commission (ERC).
  • Advised a Thai petroleum and chemical tanker operator on MRO business and aviation service, including its shareholders' agreement and project agreements.
  • Advised on licenses and regulations for the manufacturing of ammunition, and assisted with the acquisition of shares and due diligence on legal risk and opportunities in an ammunition business.
  • Acted as legal advisor for drafting the Department of Mineral Fuels' regulations and model agreements on product-sharing agreements and risk service contracts, and assisted with decommissioning a national oil company.
