Biography

Phatthraphon Waithanomsat is a senior associate in Tilleke & Gibbins’ corporate and commercial department in Bangkok. She regularly advises and assists multinational and domestic companies with a wide range of corporate financing and transactional matters. She works with businesses across industries, and she has special expertise on operations in the energy sector.

Prior to joining Tilleke & Gibbins, she worked as an in-house lawyer and legal manager for a leading petroleum and petrochemical company listed on the Stock Exchange of Thailand, where she practiced corporate and commercial law, with a particular focus on mergers, acquisitions, and other corporate transactions; corporate financing; investments in start-ups; and construction projects. She also oversaw legal operations related to the company’s new business ventures in diverse areas such as hydrocarbon disruption, power, green business, and corporate venture capital.

Phatthraphon holds an LLM in International Commercial Law from the University of Aberdeen and an LLB from Chulalongkorn University. Phatthraphon is licensed to practice law by the Lawyers Council of Thailand.


Experience
  • Assisted a petrochemical company in reviewing a joint venture agreement with its business partner for the construction and operation of a chemical company in Thailand, and later advised the joint venture company on various project agreements, including drafting and reviewing its operation and maintenance (O&M) agreement, utilities agreement, power purchase agreement, and land lease agreement for construction and operation of a chemical plant in Thailand.
  • Advised a small power plant company on its onshore construction contract, power sales and purchase agreements with its customers, O&M agreement, and utilities agreement.
  • Assisted a corporate venture capital company on an investment of series A preferred shares—the second largest ticket size for that round—into a Thai medical technology R&D startup, including reviewing and revising the share subscription agreement and shareholders agreement.
  • Assisted a corporate venture capital company on an investment through a convertible note into a Singaporean food technology startup with manufacturing operations in Thailand.
  • Assisted a project company with a refinancing transaction in which its existing credit facility agreement was transferred from its original lenders to new lenders. This involved termination of the existing credit facility agreement and execution of a new facility agreement, transfer of existing collateral from the existing lenders to the new lenders, and execution of a subordinated loan agreement between the borrower and its sponsors.
