Onunya Chanpen is a senior associate in Tilleke & Gibbins’ corporate and commercial group in Bangkok. A seasoned professional with many years’ experience as an in-house and private practice lawyer, Onunya advises large domestic and multinational companies across industries on critical commercial and transactional matters in Thailand. She specializes in digital assets, investment funds and trusts, securities and financial instruments, capital fundraising activities, and corporate governance matters. In addition to major project-based work, she also supports her clients by advising on general corporate matters and providing corporate secretarial services for listed companies. A well regarded legal practitioner, Onunya is recognized as a Rising Star in Thailand by IFLR 1000.
Before joining Tilleke & Gibbins, Onunya worked for another large Thai law firm and for a leading asset management company in Thailand for more than 10 years, where she gained extensive expertise in capital markets regulations for investment fund businesses, Thai-listed companies, and private equity transactions, as well as in REITs and infrastructure funds.
Onunya holds an LLB and an LLM from Thammasat University and an LLM in international commercial law from King’s College London. She is a Thai licensed lawyer admitted to the Thai Bar Association and is a licensed notarial services attorney.
- Advised many international and local companies and startups on structuring their business for operating or engaging in digital asset business or related activities in Thailand, including issuance of coins, tokens, or NFTs; applying for licenses; marketing and advertising activities; and other compliance matters or requirements.
- Regularly engaged to assist and advise investors on relevant legal issues under securities laws for acquisitions of listed-company shares, as well as other legal matters in relation to SEC and SET regulations.
- Advised listed companies on various capital markets and company secretarial matters, including securities offerings, tender offers, information disclosure, corporate governance, and AGM/EGM arrangement.
- Assisted numerous asset management companies in setting up and offering units of REITs, infrastructure funds, property funds, and private equity trusts, and advised them on SEC regulations for management of funds/REITs, including mutual funds, property funds, private funds, and provident funds.
- Frequently represented potential investors engaging in PPP projects and public procurement projects in Thailand, advising on all associated legal matters, from initial project bidding to contract negotiations and contract management.
- Regularly engaged as a PPP and public procurement project advisor for various government agencies, advising on a full range of matters including the business case process, preparing RFP/bidding terms and conditions, the bidding selection process, contract negotiation, and contract management for ongoing projects.
