Biography

Kim Thi Anh Nguyen is an associate on Tilleke & Gibbins’ corporate and commercial team in Ho Chi Minh City. A detail-oriented practitioner, with excellent research skills, she assists clients with a wide range of M&A and due diligence matters as well as corporate formation, and has a particularly strong background in the life sciences sector. Kim also advises on banking and finance as well as insurance matters.

After graduating from the HCMC University of Law, Kim earned an LLM from Maastricht University in the Netherlands. Prior to joining Tilleke & Gibbins, she worked for other top local firms in Vietnam. Kim is a member of the HCMC Bar Association.


Experience
  • Assisted a European financial services company under bankruptcy status with the sale of its shares in a Vietnamese subsidiary. This assistance include merger control clearance.
  • Advised a Vietnamese startup providing sales management software on the sale of their shares to a private equity fund. Assisted in preparing the due diligence documents, responding to the buyer’s questions, and completing the conditions precedent.
  • Assisted a U.S. media and communications company in acquiring a service company with a Vietnamese subsidiary, including conducting due diligence on the Vietnamese target, reviewing the SPA and schedules, and certifying the completion of the target.
  • Advised a Japanese client on the most optimal structure to acquire the assets (via asset or equity acquisition) of a foreign-invested company in Vietnam with undisclosed debts.
  • Assisted a U.K.-based venture fund in conducting legal due diligence into two Vietnamese target companies, one active and one dormant, which are subsidiaries in a group to which the client was intending to subscribe for new shares.
  • Assisted a North American food ingredient manufacturer in two M&A transactions to acquire the majority shares of two Vietnamese entities engaged in seafood processing and trading.
