Piyanuj (Lui) Ratprasatporn advises domestic and international clients on investing and conducting business in Thailand. Lui is a specialist in compliance and legal requirements in relation to corporate and commercial operations and foreign investment. She advises on investment regulations, ownership structure, necessary and applicable licenses, establishing legal entities (e.g., joint venture companies, wholly-owned subsidiaries, branch offices, regional operating headquarters, etc.), commercial contracts (e.g., distributorship agreements, sale and purchase agreements, loan agreements, and franchise agreements), licenses and permits (e.g., foreign business licenses, licenses for restaurant and entertainment operation businesses, import-export licenses, and factory licenses), and immigration and work permit-related matters.

As the lead advisor to a number of top multinational corporations in Thailand, Lui provides spot-on, timely, and practical counsel. For her excellent client service, she has earned the respect of her corporate and individual clients, as well as numerous accolades such as being named a leading individual in the area of Corporate/M&A by The Legal 500 Asia Pacific  every year since 2002.

She is an active member of many professional and business associations, including serving as a director of the Board of Directors of Multilaw, a member of the Appraisal Committee of Multilaw, a former member of the Recruitment Committee of Multilaw (role ended in September 2016), a Board member of the Thai-Norwegian Chamber of Commerce (2008-2016), and a member of the Thai Institute of Directors. Lui was officially appointed as Chair Elect of Multilaw at the association's Annual Conference in September 2016. She will serve as Chair of Multilaw for a two-year term, commencing in October 2017.

A proponent of foreign investment in the Kingdom, Lui says, “although there have always existed certain laws and regulations to limit foreign ownership in specific activities, the Thai government has generally taken a positive approach toward foreign direct investment."

  • Assisted a U.S. client to structure its subsidiary in order to engage in shrimp and seafood processing in Thailand. Helped the client obtain various licenses from government agencies such as the Department of Internal Trade, Department of Fisheries, Department of Industrial Works, and the Food and Drug Administration, among others.

  • Assisted a worldwide distributor of dental and healthcare related products, listed on the NASDAQ, in an acquisition and joint venture with a market-dominant Thai distributor of medical and dental equipment.

  • Assisted a U.S.-based construction company to expand its business to other jurisdictions in Southeast Asia. Advised on corporate and tax planning to support the company’s global organization structure.

  • Represented a Chinese medical equipment manufacturing company in lengthy negotiations and entering into a JV agreement with a local distributor. With our assistance, the parties successfully registered a JV company with the agreed shareholding structure, capital investment, and management control. In addition, we helped the parties draft a security agreement to fund the JV company and draft a loan of machinery agreement to set the terms and conditions with hospitals and healthcare centers that would loan medical equipment manufactured by our client.

  • Assisted a French client to acquire shares in a local lingerie company which holds land and manufacturing facilities. We planned and restructured ownership and activities of the company including preparing applications to obtain approvals from various government agencies.
