We are adept at resolving upstream, midstream, and downstream concerns. Our law firm has:

  • Represented a government-owned petroleum company based in the Middle East in the public tender of offshore blocks for oil and gas exploration, including drafting and negotiating Exploration and Production Sharing Agreements.

  • Represented a multinational supplier and services provider to the petroleum industry in the establishment of their Thailand operations. Our client's goal was to take a regionally flexible approach that would ensure continued growth of the business in the region. We worked closely with our client to develop a strategy allowing for the minimization of tax exposure for the company, while ensuring compliance with applicable employment laws.

  • Assisted a multinational oil and gas trader with assessing environmental regulations and possible exposure based upon ownership of energy assets.

  • Advised a global leader in the heavy industries sector on various tax matters related to the supply and installation of a production platform, bridges, and a flare tower in a petroleum concession (total contract price was approximately USD 1,000,000,000).

  • Represented sponsors in the development of a petrochemicals facility in Singapore.

  • Acted as the exclusive Thai tax advisor to a fully integrated oil and gas corporation on various tax matters, including customs, VAT, and income tax matters and tax planning for the sale and distribution of new petroleum products in Thailand; transfer pricing issues for various sale and service transactions with its parent company; permanent establishment issues related to the sale of goods by its foreign affiliates in Thailand; and the proper structure for capital increase and loan payments to its parent/affiliate.

  • Assisted a major U.S. oil company in obtaining a license for a 100% foreign-owned enterprise in LPG production in Vietnam.

  • Assisted a major U.S. oil company in negotiations and contracts for a four-party joint venture oil refinery in Vietnam.

  • Represented a major Japanese oil and gas/energy and infrastructure company in joint venture negotiations and licensing of a Liquefied Petroleum Gas (LPG) storage facility project in Vietnam.

  • Advised a Singaporean offshore oil and gas engineering and construction company on its joint venture with a state-owned Vietnamese petroleum services company.

  • Advised a major Vietnamese state-owned oil company on various commercial matters, including contracts with foreign oil companies and dispute resolution.

  • Advised an Asian state-run oil company on Vietnamese laws regarding drilling contracts.

  • Advised a U.S. oil company on foreign contractor taxation, import duty, and value added tax issues in Vietnam.

  • Advised a fully integrated oil and gas corporation on advertising activities in Vietnam.

  • Provided comprehensive due diligence and advice on share acquisitions of (1) a Vietnamese-owned online tax filing and payment company and (2) a Vietnamese bio-fuel (ethanol) manufacturer. Significant issues included the regulatory and licensing framework for digital signature certification services, Internet information services, and environmental law.
